What Makes Company Accounts Overdue, and Why It Is Worth Acting Now

Company accounts are overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not yet been delivered to Companies House. That deadline is not the same date for every company — it depends on matters such as the company’s accounting reference date, whether the period is a first accounting period, and the company’s own circumstances. Once a deadline has passed without a filing being made, the accounts remain outstanding until they are properly prepared and delivered, whether or not the company has been trading, has stopped trading, or is dormant. An overdue filing does not by itself change a company’s status on the Companies House register, and it does not automatically mean the company will be struck off. It does mean there is a statutory obligation still to be met. Where accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty, and the requirement to file the accounts and any penalty are separate matters — paying a penalty does not remove the need to file, and filing does not automatically cancel a penalty. That deadline varies between companies, because it depends on the company's accounting reference date and its individual circumstances, so the usual starting point is to check the Companies House record and confirm which accounting periods remain outstanding. Being overdue does not mean the company has been suspended or dissolved — it means a required filing is still to be prepared and delivered.

Where a company is required to prepare and file statutory accounts for a period, that obligation does not disappear simply because the deadline has passed. The accounts generally still need to be prepared and delivered to Companies House. Dormancy or a period of not trading does not remove the filing requirement on its own, and the position depends on the company's circumstances and the period concerned. We can review your company's record and confirm what is outstanding.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts for a period were not delivered by the applicable deadline, those accounts are overdue. A company also does not become overdue merely because it has not traded — what matters is the deadline that applied and whether the required accounts were actually filed.

Where accounts are delivered late, Companies House can impose a late-filing penalty. The penalty is calculated under the applicable rules and depends on the length of the delay and the company's circumstances, so we do not speculate on amounts. Filing the accounts and dealing with any penalty are separate matters, and an overdue filing remains outstanding until the accounts are delivered. In some situations a penalty may be eligible for appeal, but that depends on the applicable Companies House rules and the facts of the case.

An overdue account means the required filing is outstanding, and Companies House may take action against companies that do not meet their filing obligations. Persistent non-compliance can increase the risk of compulsory strike-off action, although an overdue account does not automatically mean a company will be dissolved. If your company has already received a strike-off notice, or has been dissolved, the position may need to be handled differently — potentially through restoration or with legal advice — rather than as an ordinary overdue filing, and filing accounts does not guarantee that any such action will be halted or reversed.

Each outstanding period generally needs its own set of accounts prepared and delivered, so filing one period does not automatically clear the others. The usual approach is to work through the periods in order, normally starting with the earliest, once the underlying records for each period have been gathered.
