Overdue company accounts are statutory accounts that should have been delivered to Companies House by the applicable filing deadline but have not been. Once the deadline has passed, the accounts remain outstanding and, where filing is required, they still need to be prepared and delivered to Companies House. The accounts do not cease to be required simply because the deadline has been missed. The exact position depends on the company's accounting period, filing history and circumstances, so it is worth reviewing the Companies House records for the company concerned.

Yes. A dormant company can still have Companies House filing obligations, and dormancy and overdue filing are separate matters. If a dormant company failed to deliver its annual accounts by the applicable deadline, those accounts can be overdue even though the company was not trading. Dormant status does not automatically exempt a company from filing annual accounts, although the accounts required may be simpler depending on the circumstances. If you are unsure what a dormant company needs to file, the filing position should be checked before assuming no action is required.

When accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty where the rules apply. The penalty is separate from the requirement to file the accounts, and the amount, if any, depends on the circumstances and how late the accounts are delivered. The fact that a penalty may be issued does not mean the accounts no longer need to be filed. Persistent failure to meet filing obligations can also increase the risk of further action by Companies House. If a strike-off notice has been received, that is a more urgent situation and may require separate advice; filing overdue accounts does not guarantee that strike-off action will be prevented or reversed.

No. Any late-filing penalty that may apply and the requirement to deliver the outstanding accounts are separate compliance matters. Paying a penalty, where one has been issued, does not satisfy the filing obligation or replace the need to prepare and file the accounts. The accounts still need to be delivered to Companies House where required, and any other outstanding filings may also need to be addressed separately.

If more than one accounting period is outstanding, each period may need its own set of accounts prepared and filed. Filing one period does not automatically resolve the others. The information required will depend on the periods involved and the company's circumstances, but it may include bookkeeping records, bank statements, invoices, expense records, previous accounts, company details and other financial information. A practical first step is to review the outstanding periods, confirm which accounts are still required and then prepare them in the appropriate order. Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. A confirmation statement is also a separate filing made to Companies House and is not the same as annual accounts. Bringing overdue company accounts up to date does not automatically satisfy any separate Corporation Tax or confirmation statement obligations, so these should be checked alongside the accounts filing position. Depending on the circumstances, the company may need to deal with these matters separately.

Some companies with overdue accounts may qualify for the micro-entity reporting framework, but not every company does. Eligibility depends on the company's legal structure, size, accounting period and reporting framework, and the position must be considered before deciding which accounts to prepare. Where the company qualifies, micro-entity accounts may be prepared under the applicable framework, such as FRS 105.
