When that deadline passes and the required accounts have not been delivered, those accounts become overdue. This can happen whether or not the company has been trading: dormant status and overdue filing are separate matters, and a dormant company can still end up with outstanding accounts sitting on its Companies House record. It is a filing position rather than a change to your company's legal status — the company is not automatically suspended or removed from the register simply because a deadline has been missed. The deadline itself depends on the company's accounting reference period and its circumstances, so the usual first step is to check what Companies House currently holds and which periods remain outstanding.

Yes. Dormancy and overdue filing are separate issues, and dormant companies still have Companies House filing obligations. If a dormant company did not deliver its accounts by the applicable deadline, those accounts are overdue in the same way as any other company's. Some dormant companies may be able to file simpler accounts depending on their circumstances, but dormant status does not automatically remove the requirement to file.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the amount can vary according to how late the filing is and the type of company involved. The penalty and the filing obligation are separate matters, so a penalty does not replace the requirement to file. If you think a penalty has been issued incorrectly, whether an appeal is available depends on the circumstances and the applicable Companies House rules.

Yes. Paying a late-filing penalty does not remove the requirement to prepare and deliver the outstanding accounts, and it does not cancel the underlying filing obligation. The accounts still need to be filed, and where more than one accounting period is outstanding, each period may need to be addressed separately.

Where a company has let more than one period go by, several sets of accounts may need to be prepared and delivered to Companies House, often in sequence. Each period is considered on its own facts: the accounting records available, the figures involved and the reporting framework that applies can all differ from one period to the next. Filing one set of accounts does not automatically resolve the others, so it is worth establishing the full picture before preparing anything.

It may still be possible to prepare and deliver the outstanding accounts, but a strike-off notice means action is already under way and the situation needs to be looked at quickly and carefully. Whether filing at that stage changes anything depends on the circumstances, and no one can guarantee that strike-off action will be prevented or reversed. If the company has already been dissolved, that is a different situation which may require restoration or separate legal advice rather than an ordinary overdue accounts filing.

Some companies may qualify for the micro-entity reporting framework, and where they do, overdue accounts can be prepared on that basis. Not every company qualifies, however: eligibility depends on the company's legal structure, size, accounting period and the criteria that apply, and FRS 105 is the financial reporting standard used by entities that qualify within the micro-entity framework. Where a company does not qualify, small-company accounts or another applicable form of statutory accounts may be required instead. We can confirm the correct basis once we have reviewed the circumstances.

Yes. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable, and they are separate compliance obligations. Delivering overdue accounts to Companies House does not automatically satisfy your company's Corporation Tax responsibilities, and a separate CT600 may still be due.
