We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Acting Promptly

Company accounts become overdue when the statutory filing deadline for a set of annual accounts has passed and those accounts have still not been delivered to Companies House. That deadline is not the same for every company — it depends on factors such as the company’s accounting reference period, whether it is filing for the first time and its individual circumstances. Once the deadline passes, the accounts remain outstanding until they are properly prepared and filed, and the obligation does not fall away simply because the company has stopped trading, has no income for the period or has dormant status. Directors of companies in Southam who find themselves in this position usually have two practical matters to resolve: getting the accounts prepared under the correct reporting framework, and getting them delivered to Companies House. It is sensible to deal with outstanding accounts reasonably promptly, because the position can develop the longer a filing remains outstanding — Companies House may take action where a company repeatedly fails to meet its filing obligations, and any late-filing penalty that applies is handled separately from the filing itself. The exact requirements, and whether a penalty is due, depend on the company’s circumstances, so a review of your position is usually the best first step.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts are overdue when the applicable statutory filing deadline has passed and the required accounts have not yet been delivered to Companies House. The deadline is not fixed for every company; it depends on matters such as the company's accounting reference period and its particular circumstances. Overdue status does not change a company's legal status by itself, but it does mean the filing obligation remains outstanding until the accounts are prepared and submitted where required.

Yes. The obligation to prepare and file the accounts generally continues even after the deadline has passed, and the accounts remain outstanding on the Companies House record until they are delivered. Filing overdue accounts does not automatically settle other compliance matters, so companies may also need to address Corporation Tax obligations with HMRC, such as a CT600 return where applicable, and keep their confirmation statement and other Companies House information up to date.

Yes. Dormancy and overdue filing are separate issues. A dormant company still has Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue regardless of whether the company traded during the period. Dormant status does not automatically remove the requirement to file annual accounts, although the basis on which accounts are prepared can differ depending on the circumstances.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and eligibility for any appeal depends on the circumstances and the applicable Companies House rules. Penalties are not identical in every case, and we cannot reduce, remove or cancel a penalty on your behalf. The requirement to file the outstanding accounts continues in any event, and the two matters are dealt with separately.

No. Paying a penalty does not discharge the underlying filing obligation. The accounts still need to be prepared and delivered to Companies House where required, and any penalty is a separate consequence of the late delivery rather than a substitute for it. Where a penalty has been issued, we can help you understand the position and what remains to be filed, subject to the applicable requirements.

Where several accounting periods are outstanding, each one generally needs to be addressed separately, and more than one set of accounts may need to be prepared and filed. The information required for each period can vary, particularly if bookkeeping records were not maintained consistently. We can review the outstanding periods, explain the order in which they are usually dealt with, and prepare the accounts for each where the necessary information is available.

Some companies may qualify for the micro-entity reporting framework, and where a company qualifies, micro-entity accounts may be an appropriate basis for preparing the outstanding accounts. Not every small or overdue company qualifies, however, and eligibility depends on the company's legal structure, accounting period and circumstances. Where the micro-entity framework is used, FRS 105 is the financial reporting standard that applies to qualifying entities.

We can review your outstanding filing position, identify which accounting periods remain unfiled and prepare the statutory accounts needed for delivery to Companies House. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we explain what information we need and how the process will work before anything is submitted. Where accounts are already prepared and simply need to be filed, or need to be brought up to date first, we can assist with the relevant steps.
