Overdue company accounts are the statutory accounts that a company was required to deliver to Companies House but which have not yet been filed, even though the applicable filing deadline has passed. Once that deadline passes and the accounts remain outstanding, the filing is treated as late and the obligation to file does not disappear. The exact deadline depends on the company's accounting reference period and its circumstances, so it is worth confirming the position shown on the Companies House record before deciding what to do next.

There are many reasons. Directors can lose track of the filing date, bookkeeping records may not be complete, a previous accountant may have stopped acting, or a company may have been quiet for a period and assumed nothing needed filing. Whatever the cause, the accounts remain outstanding until they are prepared and delivered. In South Shields and elsewhere, the practical fix is the same: identify which accounting periods are outstanding and work through them in order.

In most cases, yes. The filing obligation continues to apply even after the deadline has passed, and the outstanding accounts still need to be prepared and delivered to Companies House where required. The only situations that materially change this are where the company has already been dissolved or is subject to a formal process, which may need separate advice rather than being treated as an ordinary late filing. Yes. Dormancy and overdue filing are separate matters. A dormant company can still have Companies House filing obligations, and if the required annual accounts were not delivered by the applicable deadline, those accounts are overdue regardless of the fact that the company was not trading. Dormant status does not automatically remove the requirement to file accounts, although the type of accounts required may differ depending on the company's position.

Where accounts are delivered to Companies House after the applicable deadline, Companies House can impose a late-filing penalty. Penalty amounts and bands are set by Companies House and depend on how late the filing is, so we do not quote figures here. It is also worth understanding that paying a penalty does not remove the requirement to file the outstanding accounts — these are two separate matters. We can assist with preparing and filing the accounts, though any penalty position depends on the circumstances and the applicable Companies House rules.

If more than one accounting period is outstanding, each period may need to be addressed separately, which usually means preparing more than one set of accounts. Filing a single set of accounts does not automatically resolve the other outstanding periods. The work involved depends on the records available for each period, so we normally start by establishing exactly what is missing and then work through the filings in a sensible order.

Some companies may qualify for the micro-entity reporting framework, in which case micro-entity accounts prepared under FRS 105 could be appropriate for the outstanding period. However, eligibility is not automatic and does not follow simply from the business being small. The company's legal structure, accounting period and qualifying conditions all need to be considered, and an overdue filing may originally have required micro-entity accounts, small-company accounts or another form of statutory accounts depending on the circumstances.

Yes. Statutory accounts are filed with Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax obligations, and HMRC matters need to be dealt with separately. A confirmation statement is also a separate filing submitted to Companies House and is not replaced by filing overdue accounts.
