What Overdue Company Accounts Mean for Your Company

Company accounts generally have to be delivered to Companies House by the statutory deadline that applies to the company’s accounting reference period. Once that deadline passes without the required accounts being delivered, the accounts are treated as overdue — even if the company has not traded, has received no income, or the director was simply unaware that a filing was due. The deadline is not the same for every company and can depend on factors such as whether it is a first set of accounts, whether the accounting reference date has been changed, and the company’s individual circumstances. Leaving accounts outstanding rarely improves the position. Late-filing penalties may apply, the Companies House record will continue to show the accounts as outstanding, and persistent non-compliance can increase the risk of further action being taken. Bringing the accounts up to date is also only one part of the picture: confirmation statements, Corporation Tax matters and any returns due to HMRC, such as a CT600, are separate obligations that may also need attention depending on the company’s circumstances. Accounts become overdue when the filing deadline that applies to your company's accounting period has passed and the required statutory accounts have not been delivered to Companies House. It does not mean the company has been struck off or dissolved — it means the filing obligation remains outstanding. The deadline itself depends on the company's accounting reference date, whether it is a first set of accounts and other circumstances, so the position for your company should be checked rather than assumed.

Yes, in most cases the obligation to prepare and deliver the accounts continues even after the deadline has passed. Filing late does not remove the requirement, and the accounts will normally still need to be prepared in line with the applicable reporting framework and delivered to Companies House. Depending on the circumstances, a confirmation statement covering the same period may also need to be submitted, as this is a separate filing.

It can. Dormancy and overdue filing are separate issues. A dormant company may have reduced reporting requirements, but it will usually still have an annual accounts filing obligation at Companies House, and if the relevant deadline passed without a delivery, those accounts are overdue. Dormant status alone does not exempt a company from its filing responsibilities, so the company's filing history is worth reviewing.

Accounts delivered after the applicable deadline are treated as late filings. Companies House can apply a late-filing penalty, and the amount and whether it applies at all will depend on the circumstances and the relevant rules. Filing the outstanding accounts and dealing with any penalty are separate matters — settling or disputing a penalty does not remove the requirement to file, and the accounts will still need to be delivered.

No. A penalty does not replace the filing obligation. The accounts remain outstanding until they are properly prepared and delivered to Companies House, so paying a penalty does not cancel that requirement. Similarly, no accountant can guarantee that a penalty will be reduced, cancelled or successfully appealed — any appeal would depend on the eligibility criteria and the applicable Companies House rules.

Often they can, although each period still needs its own set of accounts prepared and delivered. Where a company has fallen behind over more than one accounting period, we would usually review the full filing history first, then work through the outstanding periods in a sensible order using the records available. Filing one period does not automatically resolve the others, so it is important to confirm exactly what remains outstanding.

That depends on whether the company qualifies for the micro-entity framework for the period in question. Micro-entity accounts are prepared under FRS 105, which applies to entities that meet the relevant qualifying conditions. Not every small company is a micro-entity, and eligibility can change between periods, so the appropriate reporting framework should be confirmed before preparation begins.

It varies with the company's circumstances and the period being prepared. Typically we would ask for bookkeeping or accounting records, bank statements, sales and purchase invoices, expense records, any previous accounts and confirmation of company details. If records are incomplete, we can discuss what is available and how best to reconstruct the position — the aim is accurate accounts based on what can be evidenced.
