We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Filing Means and Why It Matters

A limited company is generally required to prepare annual accounts and deliver them to Companies House by the applicable statutory deadline. That deadline is not identical for every company: it depends on factors such as the company’s accounting reference period, whether these are a first set of accounts, and its individual circumstances. When the deadline passes and the required accounts have not been delivered, those accounts are treated as overdue. That is true whether the company has been actively trading, has had a quiet year, or is dormant. Directors across South Ayrshire may fall behind for all sorts of reasons — illness, a change in trading activity, incomplete bookkeeping records, or simply losing track of a filing date — and the practical response is to establish exactly which accounting periods remain outstanding and what needs to be prepared. Overdue accounts still normally need to be prepared and filed, and where more than one period is outstanding, each one may need to be addressed separately. As accounts remain outstanding for longer, the likelihood of a late-filing penalty from Companies House increases, and persistent non-compliance can raise the risk of further action. The usual route back to a clean position involves preparing the relevant statutory accounts, having them reviewed and authorised by the director, and delivering them to Companies House — while also checking whether other obligations, such as confirmation statements or Corporation Tax Returns, are outstanding as well.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300
1 to 3 months late
£375
£750
3 to 6 months late

£1,500
More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the applicable statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. The deadline varies between companies and depends on the accounting reference period and other circumstances, so the starting point is usually to confirm which periods remain outstanding and when each was due. Filing late does not remove the obligation: the accounts still need to be prepared and delivered, and any penalty that may arise from the delay is treated as a separate matter.

Yes. Accounts that have missed their filing deadline can generally still be prepared and delivered to Companies House. The accounts may originally have been intended as micro-entity accounts, small-company accounts or another applicable form of statutory accounts, depending on the company's size, structure and reporting framework, and that position needs to be confirmed before the work begins. Where a company qualifies as a micro-entity, the accounts may be prepared under the micro-entity framework, with FRS 105 applying where relevant — but eligibility always depends on the company's circumstances rather than simply on how small the business is.

Yes, it can. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations at Companies House, and if the required accounts were not delivered by the applicable deadline, they become overdue in the usual way. Depending on the circumstances, a dormant company may be able to file a simpler set of accounts, but dormancy does not automatically exempt a company from filing, and being dormant does not make an overdue filing less overdue.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the outcome can differ from one company to another — it depends on how late the accounts are and the company's filing history, among other factors. Not every overdue filing results in the same penalty, and paying a penalty does not remove the requirement to file. Where a penalty has been issued, whether it can be appealed depends on the circumstances and the relevant Companies House rules.

Yes. The penalty and the filing obligation are separate matters. Paying any late-filing penalty does not cancel the requirement to prepare and deliver the outstanding accounts, and it does not bring the company's Companies House records up to date on its own. The accounts should still be completed, reviewed and authorised by the director, and submitted to Companies House where required.

Where more than one accounting period has been missed, several sets of accounts may need to be prepared and filed. Filing one set of accounts does not, by itself, resolve the other outstanding periods, so it usually helps to map out every period that is due before work begins. The records and information required will vary depending on the period being prepared and the company's circumstances, and dealing with the earliest outstanding period first often makes the later ones easier to complete.

They are separate. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. A confirmation statement is also a distinct filing made to Companies House and is not replaced by submitting accounts. Bringing overdue accounts up to date does not automatically satisfy those other obligations, so it is worth checking whether any Corporation Tax, HMRC or confirmation statement matters also need attention alongside the accounts.

We can review your filing position, identify which accounting periods remain outstanding and prepare the statutory accounts that are due, then assist with delivery to Companies House. The information we need depends on your circumstances but commonly includes bookkeeping records, bank statements, invoices, expense records, details of any previous accounts and up-to-date company information, and we will confirm exactly what is required for each period. We can also point out where confirmation statements, Corporation Tax Returns or other filings may still need to be dealt with, so you have a clearer picture of what is outstanding. Where a company has received a strike-off notice, or has already been dissolved, the position may call for separate restoration or legal advice rather than a routine overdue filing, and we can explain the options in that situation.
