The exact deadline depends on the company's accounting reference period and its circumstances — for example, a first set of accounts can follow a different timetable from later periods. If you are not certain which deadline applied, we can review your company's records and confirm what remains outstanding.

There is rarely a single reason. Common causes include incomplete bookkeeping records, a change of accountant, a period of inactivity, illness or simply losing track of correspondence from Companies House. In many cases the accounts were never prepared at all rather than being prepared and forgotten. Whatever the background, the filing requirement does not go away, and the accounts will still need to be prepared and delivered where they are due.

Yes, in most cases. The obligation to prepare and deliver statutory accounts to Companies House remains, even though the deadline has gone by. Filing late does not replace the requirement to file at all. Depending on the circumstances, a late-filing penalty may also apply, and that is a separate matter from the filing itself — settling any penalty does not remove the need to deliver the outstanding accounts.

Yes. Dormancy and overdue filing are two separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue.
