Accounts become overdue when the statutory filing deadline for an accounting period has passed and the required accounts have not yet been delivered to Companies House. The deadline itself depends on the company's accounting reference period and its individual circumstances, so it is not the same date for every company. If the accounts remain outstanding, the filing obligation continues and the matter generally becomes more difficult to leave unattended.

In our experience, overdue filings usually come from practical pressures rather than deliberate avoidance. Bookkeeping may have fallen behind, bank statements or invoices may be missing, the previous accountant may have stopped acting, or there may have been illness, a bereavement or a busy trading period. Some directors also assume that nothing needs to be filed because the company has not traded or has no income, which is not automatically the case. Whatever the reason, we can review the position without judgement and explain what is needed.

Yes, in most cases the obligation to prepare and deliver the accounts remains, even though the original deadline has passed. Delivering overdue accounts to Companies House does not, on its own, resolve every other compliance matter. Where the company also has outstanding Corporation Tax Returns, such as CT600 submissions to HMRC, those are separate requirements and may need to be addressed alongside the Companies House filing rather than being covered by it.

It can. Dormancy and overdue filing are two separate issues: a company may not have traded and still be required to deliver accounts by the applicable deadline. Whether a dormant company qualifies for any filing exemption depends on its circumstances and the relevant requirements being met, so it is worth checking rather than assuming. If the deadline has already passed, the accounts may be overdue regardless of the company's dormant status.

Where accounts are delivered late, Companies House may impose a late-filing penalty, and the amount can vary according to how late the filing is and the company's circumstances. Paying a penalty does not remove the requirement to file the outstanding accounts, and filing the accounts does not automatically cancel or reduce any penalty that has been charged. Appeals against a penalty are possible in some situations, but eligibility depends on the circumstances and the applicable Companies House rules. The longer accounts stay outstanding, the more serious the consequences may become.

Where several periods are outstanding, each one generally needs to be prepared and filed, so you may be dealing with more than one set of accounts. The work involved depends on the number of outstanding periods, the quality of the available records and whether the company qualified for micro-entity accounts, small-company accounts or another reporting framework in each period. Filing one set of accounts does not resolve the others, so we usually map out all outstanding periods first and then work through them in order.

Some companies that are behind on their filing may qualify for the micro-entity reporting framework, which uses the FRS 105 standard where the eligibility criteria are met for the period in question. However, not every small company qualifies, and the appropriate framework depends on the company's legal structure, size, accounting period and reporting requirements. We confirm the correct basis before preparing any accounts, rather than assuming a small business is automatically a micro-entity.
