Your accounts are overdue when the statutory accounts for an accounting period have not been delivered to Companies House by the applicable filing deadline. That deadline depends on the company's accounting reference period and circumstances, so it is worth confirming the correct date for your own company rather than relying on a general rule. Once the deadline has passed and the accounts remain outstanding, the filing stays overdue until the required accounts have been prepared, approved and submitted.

There are many practical reasons. Bookkeeping records may have fallen behind, invoices or bank statements may be missing, a director may have been unwell, the company may have changed accountant partway through a period, or there may simply have been an assumption that nothing needed to be filed because the company was not trading. Whatever the reason, the underlying obligation does not disappear, and the earlier the position is reviewed, the more straightforward it usually is to resolve.

Yes. Where statutory accounts were required for a period, they normally still need to be prepared and delivered to Companies House even though the deadline has passed. Filing late does not remove the requirement to file, and the directors remain responsible for making sure the company meets its filing obligations. The accounts still need to be properly prepared for the relevant period and approved before submission.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and where the required accounts were not delivered by the applicable deadline, those accounts are overdue. Whether a company qualifies as dormant, and what it must file for a particular period, depends on its circumstances, so dormant status should not be treated as automatic exemption from filing.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline. The penalty is not the same for every company and depends on how late the filing is and the company's circumstances. Paying a penalty does not remove the requirement to file the outstanding accounts — the two matters are separate. If a penalty has already been issued, whether an appeal is possible depends on the circumstances and the applicable Companies House rules.

Where more than one period is outstanding, each one generally needs to be addressed separately, which may mean preparing and filing several sets of accounts. The work involved depends on the records available and the periods concerned, so it is sensible to establish exactly what remains outstanding first. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Where a company has already been dissolved, restoration or separate legal advice may be required.

They are separate matters. Statutory accounts are delivered to Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable — filing accounts with Companies House does not by itself satisfy HMRC Corporation Tax obligations. A confirmation statement is also separate and is filed with Companies House to confirm the company's registered details. A company with overdue accounts may therefore need to deal with more than one compliance task, and we can help you identify what is outstanding.
