What Overdue Company Accounts Mean and Why They Should Be Dealt With Promptly

Limited companies are generally required to prepare annual accounts and deliver them to Companies House by the applicable statutory deadline. That deadline is not the same for every company — it depends on factors such as the company’s accounting reference period, whether it is newly incorporated, and whether any previous filing deadlines have already been missed. When the deadline passes and the required statutory accounts have not been delivered, the accounts are treated as overdue. It is worth being clear about what this does and does not mean. An overdue filing does not mean the company has been struck off or removed from the register, and it does not mean the company has ceased to exist. It simply means the filing deadline has passed and the accounts remain outstanding. The accounts still need to be prepared and filed, and the longer they remain outstanding, the more serious the position can become, as Companies House may take action against companies that repeatedly fail to meet their filing obligations. Late-filing penalties may also apply where accounts are delivered after the deadline, although these are a separate matter from the requirement to file the accounts themselves. Dormant companies are not automatically exempt either — a company can be dormant and still have overdue accounts if the required accounts were not delivered on time. Where several accounting periods are outstanding, each period usually needs to be addressed separately. Because the correct approach depends on the company’s structure, accounting period, size, reporting framework and individual circumstances, it is sensible to have the position reviewed before deciding how to proceed.

Company accounts become overdue when the applicable filing deadline has passed and the required statutory accounts have not been delivered to Companies House. It does not mean the company has been dissolved or removed from the register — it means the accounts are still outstanding and need to be prepared and filed. The relevant deadline depends on your company's accounting reference period and circumstances, so it is worth confirming your position rather than assuming.

Yes. Where statutory accounts are required, they still need to be prepared and delivered to Companies House even after the deadline has passed. The deadline passing does not remove the filing obligation. Filing the accounts and any late-filing penalty that may apply are separate matters, so paying a penalty would not in itself remove the requirement to file.

A dormant company can still have Companies House filing obligations, and dormancy does not automatically remove the requirement to file annual accounts. If the required accounts were not delivered by the applicable deadline, they can become overdue in the same way as any other company. Dormancy and overdue filing are separate issues, and the specific obligations depend on the company's circumstances.

Companies House can impose a late-filing penalty when accounts are delivered after the deadline. The penalty depends on the circumstances and how late the accounts are, and the requirement to file the outstanding accounts remains regardless. Persistent failure to meet filing obligations can increase the risk of further action by Companies House, which is why it is generally better to address overdue accounts promptly rather than let them accumulate.

In many cases, several sets of accounts can be prepared as part of the same piece of work, but each outstanding accounting period may need to be addressed separately and filed in the correct order. The exact approach depends on how many periods are outstanding, the records available and the company's circumstances. We can review the position and set out what is needed for each period.

It may still be possible to file outstanding accounts, but a strike-off notice or similar warning changes the situation and should be dealt with urgently. Compulsory strike-off action is not automatic for every company with overdue accounts, but persistent non-compliance can increase the risk. Where a company has already been dissolved or a strike-off process is well advanced, the matter may need separate restoration or legal advice rather than being treated as an ordinary overdue filing.

Some companies may qualify for the micro-entity reporting framework, and where a company qualifies, micro-entity accounts may be an appropriate format for an overdue filing. This is not automatic, however. Eligibility depends on the company's legal structure, accounting period and size, and other companies may need small-company accounts or another applicable form of statutory accounts. FRS 105 is the financial reporting standard used by qualifying entities applying the micro-entity framework, and eligibility should be confirmed before accounts are prepared.

They are separate compliance matters. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Filing overdue accounts with Companies House does not automatically satisfy any outstanding Corporation Tax obligations. A confirmation statement is also separate from annual accounts.
