Company accounts become overdue when a limited company’s statutory accounts are not delivered to Companies House by the applicable filing deadline. That deadline is not identical for every company — it depends on factors such as the company’s accounting reference period, whether these are its first accounts, and its particular circumstances — so directors should check the position for their own company rather than assume a standard date applies. Once the deadline has passed and the required accounts remain outstanding, the filing obligation does not disappear. The accounts still need to be prepared under the correct reporting framework and delivered to Companies House where required. Overdue company accounts are the statutory accounts a limited company was required to deliver to Companies House by its applicable filing deadline, where that deadline has passed and the accounts remain outstanding. An overdue filing does not mean the company has been suspended or removed from the register — it simply means the required accounts have not yet been delivered. The accounts still need to be prepared under the appropriate reporting framework and filed where required.

There is rarely a single reason. Bookkeeping records may not have been kept up to date, a director may have assumed the company was exempt because it was not trading, an accountant may have stopped acting, or the deadline may simply have been missed. Because the deadline depends on the company's accounting reference period and circumstances, directors in Runcorn sometimes find that the date they had in mind was not the correct one. Whatever the cause, the underlying filing obligation usually remains.

In most cases, yes. Accounts that have passed their deadline generally still need to be prepared and delivered to Companies House where required. Dormant status does not automatically remove the requirement to file annual accounts, although what is required depends on the company's circumstances and eligibility.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that may apply depends on the circumstances and how late the accounts are, and the amounts are set by Companies House rather than by us. Penalties are not optional, and paying one does not cancel the requirement to file. If you believe a penalty has been issued incorrectly, whether an appeal is possible depends on the circumstances and the applicable Companies House rules.

Where several accounting periods remain outstanding, each period generally has to be addressed on its own, and more than one set of accounts may need to be prepared and filed. Filing a single set will not automatically clear the others. We can review the company's Companies House record and accounting history to establish which periods are still outstanding and how each one should be prepared, subject to the relevant requirements.

Overdue accounts do not automatically mean a company is suspended or dissolved. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Filing outstanding accounts may reduce that risk, but it does not guarantee that enforcement action will be prevented or reversed. If a strike-off notice has already been issued, or the company has been dissolved, the situation may require separate restoration steps or legal advice rather than an ordinary overdue filing.
