What Makes Company Accounts Overdue, and Why It Is Worth Acting Early

Company accounts become overdue when the statutory deadline for delivering them has passed and the accounts have not yet reached Companies House. That deadline is not the same for every company: it is worked out from the company’s accounting reference date, the length and end date of the accounting period, and the circumstances of the company itself. So the first practical step is usually to confirm which period or periods remain outstanding and what was actually delivered, rather than assuming a particular date applies. Once a deadline has passed, the filing obligation does not disappear because the company has stopped trading, has no income for the period, or is dormant. A dormant company can still have overdue accounts where the required accounts were not filed on time, and dormancy and overdue filing are separate issues. Equally, this is not a question of company status being automatically suspended or removed — it simply means the relevant filing deadline has passed and the accounts remain outstanding. Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and it may take action against companies that repeatedly fail to meet their filing obligations. Penalties and filing requirements are separate matters, and paying a penalty does not remove the need to prepare and deliver the outstanding accounts. Overdue company accounts simply means that the filing deadline for a set of statutory accounts has passed and those accounts have not yet been delivered to Companies House. It does not mean the company has automatically been dissolved or removed from the register, and it does not mean the requirement has gone away. The accounts remain outstanding until they are prepared, reviewed and filed. The deadline itself depends on the company's accounting reference date, its accounting period and its circumstances, so it is worth confirming exactly which period is outstanding before assuming anything about the position.

There is rarely a single reason. Common situations include a change of accountant part-way through a period, gaps in bookkeeping records, a director who was unwell or distracted by other commitments, a business that stopped trading and was assumed to need no further filings, or simply a missed reminder. In many cases the deadline was calculated from the accounting reference date rather than the date the director had in mind. Whatever the cause, the practical position is the same: the period has to be prepared and filed, so the sooner the records are gathered the easier the work tends to be.

Yes, in almost all cases. Where accounts are required to be delivered to Companies House, the obligation continues after the deadline has passed, and the accounts still need to be prepared and filed. Stopping trading, having no income in the period or being dormant does not remove the requirement. Filing late accounts resolves the outstanding filing itself, but it does not automatically cancel any late-filing penalty that may have been incurred, and it does not clear other obligations such as an outstanding confirmation statement or separate HMRC matters. Those are dealt with individually, depending on the circumstances.

Yes. Dormancy and overdue filing are separate issues. If a dormant company was required to file accounts for a period and did not deliver them by the applicable deadline, those accounts are overdue — the fact that the company was not trading does not exempt it from the filing obligation. Dormant company accounts are usually simpler to prepare, but they still need to be produced and submitted where required, and any penalty position needs to be considered separately.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the penalty position depends on the circumstances rather than being identical in every case. Paying a penalty does not remove or replace the requirement to file the outstanding accounts — the penalty and the filing obligation are separate matters. If you believe there are grounds to appeal a penalty, eligibility depends on the specific circumstances and the applicable Companies House rules, and we can review the position with you before anything is submitted.

Where a company has several periods outstanding, each set of accounts generally needs to be prepared, reviewed and filed separately. Filing one period does not automatically resolve the others. In practice this means reconstructing the records for each period in turn, checking what has already been delivered to Companies House, and working through the periods in a sensible order. The amount of work involved depends on the quality of the records available and the number of periods involved, so we usually start with a review of the position before confirming the approach.

Some companies with overdue accounts may qualify to prepare micro-entity accounts under FRS 105, which is the financial reporting standard applicable to qualifying entities using the micro-entity accounting framework. However, eligibility depends on the company's legal structure, accounting period, size and circumstances, and qualifying status is not automatic just because a business is small. Other companies may have been required to prepare small-company accounts or another applicable form of statutory accounts. We assess the appropriate reporting framework for each period before preparing anything.

Not automatically — they are separate compliance matters. Statutory accounts are delivered to Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable. Submitting overdue accounts to Companies House does not satisfy a company's Corporation Tax obligations, and a confirmation statement is a separate filing again, submitted to Companies House and unrelated to the annual accounts.
