We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Mean for Your Company

Company accounts generally have to be delivered to Companies House by the statutory deadline that applies to the company’s accounting reference period. Once that date passes and the required accounts have not been delivered, the accounts are treated as overdue. The deadline is not identical for every company — it can vary depending on factors such as whether the period is a first accounting period, whether it covers more or fewer than twelve months, and the specific circumstances of the company. That is why it is worth checking the position on the Companies House record rather than assuming a particular date applies. Leaving accounts outstanding rarely improves the situation: the filing obligation continues, late-filing penalties may apply where accounts are delivered after the deadline, and Companies House may take action against companies that repeatedly fail to meet their filing obligations. For directors in Rotherham, the practical step is usually to establish exactly which accounting periods remain unfiled, gather the records needed to prepare them, and deal with each outstanding period properly. It is also important to keep separate compliance matters in view — a confirmation statement, for example, is not the same as annual accounts, and Corporation Tax Returns such as CT600 are submitted to HMRC rather than Companies House. Filing outstanding accounts does not automatically settle those other obligations, and the requirements that apply will depend on the company’s own circumstances.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late

3 to 6 months late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. The deadline is not the same for every company; it depends on the accounting reference period and the company's individual circumstances, so the Companies House record is the most reliable place to confirm what is outstanding. Being overdue is a filing position rather than a change to the company's status — the obligation to deliver the accounts remains.

Yes. Accounts that were due must still be prepared and delivered to Companies House where required, even though the original deadline has passed. Companies House does not prepare accounts on a company's behalf, and it does not approve or endorse accounts prepared by an accountant — it receives and records them. Filing the accounts also does not automatically resolve other obligations, such as a confirmation statement or a Corporation Tax Return, which are dealt with separately.

Yes. Dormancy and overdue filing are separate matters. A company that has not traded may still have an annual accounts filing obligation, and if those accounts were not delivered by the applicable deadline, they can be overdue in exactly the same way as accounts for a trading company. Dormant status does not remove the requirement to file, and it does not mean an overdue filing can simply be left alone.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the level of that penalty depends on factors such as the length of the delay and the type of company involved. Penalties are not identical in every case, and longer delays can lead to more serious consequences over time. Persistent failure to meet filing obligations can also increase the risk of action by Companies House, which may include strike-off proceedings depending on the circumstances.

No. The penalty and the filing requirement are separate matters. Paying a penalty does not remove the obligation to prepare and deliver the outstanding accounts, and it does not discharge any other outstanding filings. Where a penalty has been issued, an appeal may be possible in certain circumstances, but eligibility depends on the applicable Companies House rules and the facts of the case — an accountant cannot simply cancel or reduce a penalty on request.

Where several accounting periods are outstanding, each period may need to be addressed separately. Preparing and filing one set of accounts does not automatically resolve the other periods, and the information required can differ from year to year. To prepare each period we may need records such as bookkeeping entries, bank statements, invoices, expense records, details of any previous accounts and company information. The exact requirements depend on the company's circumstances and the period being prepared.

Some companies with overdue accounts may qualify for the micro-entity reporting framework, which uses the FRS 105 financial reporting standard. However, not every small or overdue company qualifies. Eligibility depends on the company's legal structure, size, accounting period and the applicable thresholds, and it must be assessed before deciding on a reporting framework. A company that was eligible in one period may not be eligible in another, so each outstanding period is considered on its own facts.

Micro Entity Accounts supports limited companies and other eligible entities with preparing and filing outstanding statutory accounts at Companies House. We can review which accounting periods remain outstanding, work through the records needed to prepare them, and assist with the filing process, keeping you informed at each stage. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we aim to keep pricing clear and straightforward. We can review your circumstances and explain what is required for your company.
