What Makes Company Accounts Overdue, and Why It Matters

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline. That deadline is not identical for every company — it depends on factors such as the company’s accounting reference period, whether it is filing for the first time, and the company’s particular circumstances. When the deadline passes and the required accounts have not been delivered, those accounts are overdue. Nothing about the trading position changes that: an overdue filing is simply a filing that is late. Directors of companies in River Tyne and elsewhere remain responsible for making sure that statutory accounts are prepared and delivered, and that responsibility does not disappear because a company has been quiet, dormant or has no income for the period. Company accounts become overdue when the statutory filing deadline for a particular accounting period passes and the required accounts have not been delivered to Companies House. The deadline itself is not the same for every company — it is linked to the accounting reference period and can differ for first accounts, or where the period has been changed — so the usual starting point is to confirm the filing date that applies to your company and whether the accounts for that period have actually been delivered. If they have not, the accounts are overdue, whether or not the company has traded during the period.

The reasons vary and are usually practical rather than deliberate. Sometimes a director assumes nothing needs filing because the company has not traded, sometimes bookkeeping records are incomplete, a previous accountant has stopped acting, or correspondence from Companies House has gone to an address that is no longer monitored. In other cases the deadline simply passes during a busy period and the filing drops off the list. Whatever the cause, the position is the same: work is needed before the accounts can be delivered, and the longer the gap, the more there usually is to reconstruct from bank statements, invoices and expense records.

Yes. Where a company is required to deliver accounts, that obligation remains in place and does not fall away because the deadline has passed. The outstanding statutory accounts need to be prepared and delivered to Companies House, and for each overdue period a separate set of accounts is generally required. It is also important to keep two things apart: filing the accounts and dealing with any late-filing penalty. Delivering overdue accounts does not by itself cancel a penalty that has already been charged, so both matters may need attention.

It can. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts filing obligations, and if those accounts were not delivered by the applicable deadline, they are overdue. Dormant status does not automatically exempt a company from filing, and dormancy does not mean that overdue accounts can be ignored — the Companies House record needs to be checked for the period in question rather than assumed to be clear. Where a company has never traded, that may affect how the accounts are prepared, not whether a filing is due.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. Penalties are not identical in every case — the amount can depend on how late the accounts are and whether the company has filed late in previous years — so it is not possible to give a single figure that applies to everyone. Paying a penalty does not remove the requirement to file the outstanding accounts. If you believe a penalty was issued incorrectly, an appeal may be possible depending on the circumstances and the applicable Companies House rules, and we can review the position with you.

Where more than one period is outstanding, each set of accounts generally needs to be prepared and delivered separately, because each relates to its own financial year. Filing one year does not automatically resolve the others. In practice, most directors find it easier to work through the periods in order, beginning with the earliest, so that opening balances and comparatives line up and the Companies House record can be brought up to date coherently. The amount of work involved depends on the records available for each period, and we can review what you hold before deciding how to proceed.

Some companies qualify for the micro-entity reporting framework, and where a company qualifies, FRS 105 is the financial reporting standard that applies to those accounts. Not every company qualifies, however, and eligibility depends on the company's legal structure, accounting period, size and individual circumstances. A company with overdue accounts may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts, and the same considerations apply to any catch-up filing. A small business is not automatically a micro-entity, so the appropriate basis should be confirmed before preparation begins.

Yes, they are separate compliance matters. Statutory accounts are filed with Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing again. Delivering overdue accounts to Companies House does not automatically satisfy HMRC Corporation Tax obligations, and it does not replace a confirmation statement.
