Once that date has passed and the required accounts have not been delivered, those accounts are treated as overdue. Being overdue does not mean the company has been suspended or removed from the register — it means a required filing is still outstanding. Even a company that has not traded, or that regards itself as dormant, may still have an annual accounts filing obligation, because dormancy and overdue filing are separate matters. Where accounts are delivered after the deadline, Companies House may apply a late-filing penalty, and the position can become more involved the longer the accounts remain outstanding. A company with several unfiled periods may need to prepare and deliver more than one set of accounts, and other obligations such as confirmation statements or Corporation Tax Returns may also need attention. Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. The deadline is worked out from the company's accounting reference period and its own circumstances, so it is not the same date for every company. An overdue filing does not mean the company has automatically been dissolved or removed from the register — it means a required document is still outstanding and needs to be addressed.

In most cases, yes. Where a company was required to prepare and deliver statutory accounts, that obligation does not disappear simply because the deadline has passed. The accounts should still be prepared using the reporting framework that applies to the company and delivered to Companies House where required. Filing the outstanding accounts does not automatically cancel any late-filing penalty, and it does not by itself settle other obligations such as a confirmation statement or a Corporation Tax Return.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still be required to file annual accounts with Companies House, and where it has not done so by the applicable deadline, those accounts may be overdue. Dormant status does not automatically remove the filing requirement, although the accounts themselves may be prepared on a simpler basis depending on the company's circumstances.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. What may apply depends on how late the accounts are and on the company's circumstances, and it is not the same in every case. Paying a penalty does not remove the requirement to file the outstanding accounts — the penalty and the filing obligation are separate matters. Where a penalty is issued, an appeal may be possible depending on the circumstances and the applicable Companies House rules, but eligibility is not automatic.

Where a company has missed more than one filing deadline, each outstanding accounting period generally needs to be dealt with in its own right. That may mean preparing and delivering several sets of accounts, usually in the correct order, with the earliest period addressed first. Filing one set of accounts does not automatically resolve the remaining periods. It is also worth checking whether other filings, such as confirmation statements or Corporation Tax Returns, are outstanding at the same time. This is a situation we see with companies in Rhondda Cynon Taff and further afield, often after a period of inactivity.

Some companies may be eligible to prepare accounts under the micro-entity framework, in which case micro-entity accounts can be used for the outstanding period if the company meets the relevant conditions for that period. Not every company qualifies, and a company that was eligible previously may not still be eligible for a later period. Eligibility depends on factors such as the company's size, legal structure and accounting period, and micro-entity accounts prepared under FRS 105 follow specific recognition, measurement and disclosure requirements.

Companies House may take action against companies that repeatedly fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Where a company has received a strike-off notice but has not yet been dissolved, it may still be able to file the outstanding accounts, depending on how far the process has progressed. Filing overdue accounts does not guarantee that strike-off action will be halted, and if a company has already been dissolved, the position usually calls for restoration or separate legal advice rather than an ordinary overdue accounts filing.
