That deadline depends on your company's accounting reference period and its circumstances, so it is not the same for every company. Being overdue does not automatically change your company's status, but the outstanding accounts still need to be prepared and filed.

In most cases, yes — the accounts still need to be prepared and delivered to Companies House even though the deadline has passed. A late filing does not usually remove the obligation itself. Where more than one accounting period is outstanding, each period may need to be addressed separately, and we can review your Companies House record to establish exactly what is missing.

It can. Dormancy and overdue filing are separate matters. A dormant company may still have an annual accounts filing obligation, and if the required accounts were not delivered by the applicable deadline, that period can be overdue. Dormant status does not, by itself, mean the accounts can be ignored, although the accounts themselves may be prepared on a different basis depending on the company's circumstances.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. Whether a penalty applies, and how it is assessed, depends on the circumstances and the company's filing position.
