Yes. An accounts filing does not stop being required simply because the deadline has passed. Companies House still expects the statutory accounts to be prepared and delivered, and the outstanding filing remains on the company's record until it is dealt with. Any late-filing penalty that has been issued is a separate matter from the filing requirement itself, so paying a penalty does not remove the need to file the accounts, and filing the accounts does not automatically cancel a penalty.

It can. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts filing obligations at Companies House, and if those accounts were not delivered by the applicable deadline, they are overdue. Being dormant, having no income in the period or not having traded does not by itself mean that accounts are exempt from filing. The position depends on the company's circumstances and what has previously been filed.

Where accounts are delivered after the applicable filing deadline, Companies House can impose a late-filing penalty. The penalty that may apply, and whether one is issued at all, depends on the circumstances, including how late the filing is and the type of company involved. We do not treat penalties as optional, and we do not assume that an appeal will sì³®d, as eligibility for an appeal depends on the specific facts and the applicable Companies House rules.

In most cases, yes. Each outstanding accounting period generally requires its own set of statutory accounts to be prepared and delivered to Companies House. Filing one period does not automatically clear the others, so the periods usually need to be worked through individually. The order in which they are dealt with can depend on the company's circumstances and the accounting information available for each period.

Companies House may take action against companies that do not meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. That does not mean every company with overdue accounts will be dissolved. If your company has already received a strike-off notice, or has been dissolved, the situation may need separate restoration or legal advice rather than being handled as a routine overdue accounts filing. We can review the position and explain the options that may be available.

Yes, they are separate compliance matters. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable, usually with a Corporation Tax computation. Filing overdue accounts with Companies House does not automatically satisfy any outstanding HMRC Corporation Tax obligations. Where both are overdue, we can look at each separately and confirm what needs to be dealt with.

Where a company qualifies for the micro-entity framework, it may be able to prepare its accounts under FRS 105, the financial reporting standard that applies to qualifying entities using the micro-entity accounting framework. Qualification is not automatic, and a company may instead have originally been required to prepare small-company accounts or another applicable form of statutory accounts. Eligibility depends on the company's size, legal structure and the accounting period concerned, so the framework should be confirmed before preparation begins.
