What Makes Company Accounts Overdue — And Why It Is Worth Acting Early

Company accounts are generally treated as overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not yet been delivered to Companies House. That deadline is not the same for every company — it can depend on factors such as the company’s accounting reference date, whether it is newly incorporated, and its own individual circumstances. Once the deadline has passed, the outstanding accounts remain due, and the position does not resolve itself simply because the company has stopped trading, has no current income, or is dormant. Dormant companies can still have annual accounts filing obligations, and dormancy and overdue filing are separate matters. It is worth dealing with outstanding accounts as promptly as you reasonably can. Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline, and the longer a set of accounts remains outstanding, the more serious the consequences may become; persistent non-compliance can also increase the risk of further action being taken against the company. Where more than one accounting period is outstanding, each period may need to be addressed separately, with its own set of accounts prepared and delivered where required. Accounts become overdue when the statutory filing deadline for an accounting period has passed and the required statutory accounts have not been delivered to Companies House. It is a question of whether the deadline has been met and whether the accounts have been filed, rather than whether the company has been trading, making a profit or holding any particular level of income.

There are many reasons. A director may have been unsure of the exact filing deadline, the bookkeeping records may not have been complete, there may have been a change of accountant, illness or a period of inactivity, or the company may simply have fallen out of the habit of filing. Whatever the reason, the outstanding accounts still need to be prepared and delivered where required, and we can review your circumstances before recommending how to move forward.

Yes. Missing a deadline does not remove the requirement to prepare and deliver the accounts. The accounts for the affected period generally remain outstanding until they are filed, and if several accounting periods have been missed, each one may need to be dealt with separately, subject to the relevant requirements.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts can be overdue in the same way as any other company's. Dormant status does not automatically mean accounts are exempt from filing.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The penalty that may apply depends on factors such as the company type and how late the accounts are, so it is not the same in every case.
