We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Are — and Why They Are Worth Sorting Out Early

Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. That deadline is not identical for every company: it depends on factors such as the company’s accounting reference period, whether these are its first accounts, and its particular circumstances, so the starting point is usually to check what Companies House records show as outstanding. Once the date has gone by, the accounts remain outstanding until they are properly prepared and submitted — the obligation does not disappear simply because the company has stopped trading, has no income, or has been described as dormant. Leaving overdue accounts unaddressed rarely improves the position, and persistent non-compliance can increase the risk of Companies House taking further action in line with its own procedures, with late-filing penalties potentially applying where accounts are delivered after the due date. It also matters that the accounts are prepared to the correct reporting framework, whether that is micro-entity accounts under FRS 105 for a company that qualifies, small-company accounts, or another applicable form of statutory accounts. Directors across Powys who find themselves with late or outstanding accounts can usually make real progress by identifying which periods are affected, gathering the supporting records, and preparing each set of accounts for review and filing.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Overdue Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Accounts are overdue when the statutory filing deadline that applies to your company has passed and the accounts have not been delivered to Companies House. That deadline varies between companies and depends on matters such as the accounting reference period and whether these are first accounts, so the sensible first step is to check what Companies House records show as still outstanding. There are many reasons accounts fall behind — incomplete bookkeeping, a change of accountant, a quiet trading period, or an assumption that nothing needs filing — but the filing obligation itself remains until the accounts are prepared and submitted.

Yes. Dormancy and overdue filing are separate matters, and a dormant company can still have outstanding accounts if the required accounts were not delivered by the applicable deadline. Dormant accounts are often simpler to prepare, but that does not remove the filing requirement where one applies. If you are unsure whether your company is genuinely dormant for filing purposes, or what Companies House expects for the periods involved, we can review the position and confirm the appropriate next steps.

Late delivery of accounts can result in a late-filing penalty, and the amount charged depends on the circumstances, including how late the accounts are and the company's filing history. The longer accounts remain outstanding, the more serious the consequences may become, and Companies House may take further action against companies that repeatedly fail to meet their filing obligations. Filing the outstanding accounts is the step that addresses the accounts themselves, but it does not cancel a penalty that has already been issued — the two matters are dealt with separately.

Yes. Paying a penalty does not remove or replace the requirement to file the outstanding accounts. The penalty and the filing obligation are separate matters: the accounts still need to be prepared to the correct reporting framework, reviewed and authorised, and delivered to Companies House where required. We can assist with preparing and filing the overdue accounts and explain how any penalty is handled by Companies House, though whether a penalty can be appealed depends on the circumstances and the applicable Companies House rules.

Where a company has more than one accounting period outstanding, each period generally needs to be addressed separately, which can mean several sets of accounts being prepared and filed. Completing one set does not automatically resolve the others, and the information required for each period can differ depending on the records available. We can map out the outstanding periods first, then work through them in a sensible order so the overall filing position is brought up to date.

Some companies may qualify to prepare micro-entity accounts under FRS 105, and where they do, that framework can be used for overdue filings covering the relevant periods. Eligibility is not automatic, however: it depends on the company's size, structure and circumstances for each accounting period, and not every small company will qualify. A company with overdue accounts may have originally been required to prepare micro-entity accounts, small-company accounts, or another applicable form of statutory accounts, so we confirm the correct basis before any figures are finalised.

Yes, they are separate compliance matters. Statutory accounts are delivered to Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable, and a confirmation statement is filed with Companies House independently of the annual accounts. Submitting overdue accounts therefore does not automatically satisfy Corporation Tax obligations or the confirmation statement requirement. Where a company has several outstanding matters, we can review what needs attention in each area and help you deal with them in the right order.

We help companies and their directors prepare and file outstanding accounts, beginning with a review of the filing position so you know exactly which periods are overdue and what is needed for each one. From there we prepare the accounts on the appropriate basis, provide them for your review and authorisation, and assist with submission to Companies House. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we work on simple fixed-fee pricing with no hidden costs. We cannot guarantee a particular outcome or timeframe, but we can give you a clear plan and steady progress towards getting your company back on track.
