It means the filing deadline that applied to a set of annual (statutory) accounts has passed and those accounts have not yet been delivered to Companies House. Accounts do not become overdue simply because a company has stopped trading or made no profit for a period; what matters is whether the required accounts were filed by the applicable date. Once that date has passed, the accounts remain outstanding until they are prepared, reviewed and submitted, and directors should look at the position for each affected accounting period.

In most cases the obligation remains. Outstanding statutory accounts still need to be prepared and delivered to Companies House where required, even if the deadline has passed and a late-filing penalty has been issued. Filing the accounts does not automatically cancel any penalty, and it does not settle separate matters such as a Corporation Tax Return (CT600) submitted to HMRC or a confirmation statement filed with Companies House. Those are distinct compliance obligations and may each need to be addressed separately.

A dormant company can have overdue accounts if the filing deadline for its accounting period passed without the required accounts being delivered. Dormancy and overdue filing are two separate issues. A company that has not traded may still have a Companies House filing obligation, and a dormant company is generally expected to file accounts reflecting its dormant position. Dormant status does not, by itself, remove the requirement to file by the applicable deadline.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the level of that penalty can depend on how late the accounts are and the company's circumstances. Penalties are not identical for every filing, and paying a penalty does not remove the requirement to file the outstanding accounts — the two matters are dealt with separately. If you believe a penalty has been issued in error, whether an appeal is possible depends on the circumstances and the relevant Companies House rules.

Where a company has missed more than one filing deadline, several sets of accounts may need to be prepared and delivered separately. Filing one period does not automatically resolve the others, and the Companies House record needs to be brought up to date for each outstanding period. The work involved depends on the information available, how far back the arrears go and the company's circumstances, so it is worth having the position reviewed before deciding the order in which to deal with each period.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been issued, delivering the outstanding accounts does not guarantee that the process will be stopped or reversed, and the position may need to be considered urgently. If a company has already been dissolved, that is a different situation again and may require restoration or separate legal advice rather than an ordinary overdue filing.

It depends on the company and the accounting period being prepared. In most cases we would expect to see bookkeeping records, bank statements, sales invoices and expense records, details of any assets or liabilities, previous accounts where available, and the company's registration details. The requirements for a dormant company may be simpler, but the information needed is not identical for every business. We will confirm exactly what is required once we understand the period or periods involved.

We review what has already been delivered, identify which periods remain outstanding and prepare the statutory accounts needed for submission to Companies House. Where the company qualifies, accounts may be prepared under the micro-entity framework using FRS 105, although eligibility depends on the company's size, structure and circumstances, and not every company qualifies.
