What Makes Company Accounts Overdue, and Why It Is Worth Acting On

Company accounts generally have to be delivered to Companies House by the statutory deadline that applies to the company’s accounting reference period. Once that date has passed and the required accounts have not been delivered, the accounts are treated as overdue, whether or not the company has been trading, has made a profit or has any income at present. Company accounts become overdue when the filing deadline for the relevant accounting period has passed and the required accounts have not been delivered to Companies House. The deadline is based on the company's accounting reference date and its own circumstances, so it is not the same for every company or every period. If you are unsure whether a set of accounts is still outstanding, the company's filing history at Companies House and the company's own records are the usual starting point.

Yes. An overdue filing does not remove the obligation to prepare and deliver the accounts. Where statutory accounts are required, they still need to be prepared and filed with Companies House, subject to the applicable requirements. Dormancy, a lack of trading or an absence of income does not automatically exempt a company from its filing obligations, and the form the accounts take depends on the company's circumstances rather than simply on whether it has traded.

It can. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts filing obligations, and if the applicable deadline passed without the required accounts being delivered, those accounts are overdue. Dormant status does not by itself remove the requirement to file, and dormant accounts are not the same thing as overdue accounts.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the level of any penalty depends on how late the accounts are and the relevant Companies House rules. The longer the accounts remain outstanding, the more serious the consequences may become, and persistent non-compliance can increase the risk of compulsory strike-off action, although that is not automatic and does not follow in every case. Filing overdue accounts also does not automatically resolve other outstanding obligations, such as an overdue confirmation statement or a Corporation Tax Return due to HMRC.

No. The penalty and the filing obligation are separate matters. Paying a penalty does not satisfy the requirement to prepare and deliver the outstanding accounts, and it does not cancel that requirement. If you believe a penalty has been issued incorrectly, an appeal may be possible depending on the circumstances and the applicable Companies House rules, but eligibility and outcome cannot be guaranteed.

Where more than one accounting period is outstanding, each period generally needs to be addressed separately, and several sets of accounts may need to be prepared and filed. We can review the company's filing history and records to establish which periods remain outstanding, then work through them in a sensible order. Filing one set of accounts does not automatically resolve the other outstanding periods.

Some companies may qualify for the micro-entity reporting framework, which is set out in FRS 105, but not every small company does. Eligibility depends on the company's legal structure, accounting period, size and circumstances, and the same tests apply to accounts being prepared late as to accounts that were filed on time. Where a company does not qualify as a micro-entity, small-company accounts or another applicable form of statutory accounts may be required instead.
