When the deadline passes and the required accounts have still not been delivered, they become overdue. An overdue filing does not mean the obligation has gone away. The accounts may still need to be prepared and filed, and Companies House can impose a late-filing penalty where accounts are delivered after the deadline. The longer accounts remain outstanding, the more significant the consequences may become, and persistent non-compliance can increase the risk of further action by Companies House. Overdue accounts are not automatically resolved by dormancy, by a period of no trading or by having no current income, so it is worth understanding exactly which periods are outstanding. Limited companies and other eligible entities are generally required to prepare annual accounts and deliver them to Companies House by the applicable statutory deadline. That deadline varies according to matters such as the company's accounting reference period and its own circumstances, so it is not the same date for every company. Once the deadline has passed and the required accounts have still not been delivered, they are treated as overdue. Being overdue simply means the filing deadline has passed and the accounts remain outstanding — it does not change the underlying requirement to prepare and file them where they are due.

There is rarely a single reason. Incomplete bookkeeping records, a change of accountant, illness or other disruption, a misunderstanding about which periods need filing, or simply losing track of the date are all common causes. Some directors also assume that accounts are not required because the company has not traded or has had no income, which is not necessarily correct. Whatever the cause, once the deadline has passed the accounts remain outstanding and may need to be prepared and delivered to Companies House where the company is required to do so.

Yes, where the company is required to prepare and deliver accounts, that obligation does not disappear because the deadline has passed. The accounts still need to be prepared and submitted, and other obligations — such as confirmation statements or Corporation Tax Returns including CT600 where applicable — may need to be dealt with separately. Filing overdue accounts does not automatically clear those other matters. If you are unsure what remains outstanding, we can review your circumstances and set out which filings appear to be required.

It can. Dormancy and overdue filing are separate issues. A dormant company may still have a Companies House filing obligation even where no trading has taken place, and if the required accounts were not delivered by the applicable deadline they can become overdue. Dormant companies are sometimes able to file simpler accounts, but whether that applies depends on the company's circumstances and the relevant requirements, so it should be confirmed before anything is submitted.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The level of any penalty is set out in the relevant Companies House rules and can increase the longer the accounts remain outstanding, although the position depends on the company's circumstances and filing history. Filing the outstanding accounts and dealing with any penalty are separate matters — the accounts still need to be prepared and delivered regardless of the penalty position.

Where more than one accounting period is behind, each set of accounts generally needs to be prepared and filed separately, usually in the correct order. Filing one period does not automatically resolve the others, so it helps to establish exactly which periods are outstanding before work begins. The records needed will depend on what is available for each period and what the accounts are being prepared for.

Overdue accounts do not automatically mean a company will be dissolved or removed from the register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been received, or if the company has been dissolved, that situation is different from an ordinary overdue filing and may require separate advice rather than being treated as a routine late submission.

Some companies do qualify for the micro-entity framework, in which case accounts prepared under FRS 105 may be appropriate. Not every small company qualifies, however, and eligibility depends on the company's legal structure, accounting period and circumstances. An overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another form of statutory accounts, so the correct framework should always be confirmed rather than assumed.
