Overdue company accounts are simply the annual or statutory accounts that were required to be delivered to Companies House but were not filed by the applicable deadline. They are not a different type of accounts; the same figures and disclosures are prepared, just later than required. Once the deadline has passed, the company's Companies House record may show the accounts as outstanding, and a late-filing penalty may apply depending on the circumstances.

In most cases, yes. The obligation to prepare and deliver the accounts generally remains even though the deadline has been missed. Where a company has more than one outstanding accounting period, each period may need to be prepared and filed separately, and filing one set of accounts does not automatically clear the others. The appropriate reporting framework depends on the company's size, legal structure and accounting period, so it is worth confirming what is required before preparation begins.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have companies house filing obligations, and if the required accounts were not delivered by the applicable deadline, they will be overdue. Some dormant companies may be able to take advantage of limited filing exemptions, but that depends on the circumstances and does not mean dormancy removes the need to keep the company's records and filings up to date.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The actual outcome depends on the circumstances and the applicable Companies House rules, so penalty levels, any reduction for early settlement and whether an appeal is possible should not be assumed. Generally speaking, the longer accounts remain outstanding, the more the position can escalate, and persistent non-compliance can increase the risk of further action against the company.

No. The requirement to file the outstanding accounts and any penalty that may apply are separate matters. Paying a penalty does not discharge the filing obligation, and delivering the accounts does not automatically remove or cancel a penalty that has already been issued. Where an appeal is considered, eligibility depends on the circumstances and the applicable Companies House rules, so no accountant can guarantee that a penalty will be reduced, cancelled or refunded.

Companies House may take action against companies that fail to meet their filing obligations, and repeated non-compliance can increase the risk of compulsory strike-off action. If a warning or strike-off notice has been received, the position is usually more time-sensitive and should be reviewed promptly. Filing overdue accounts does not guarantee that strike-off action will be stopped, particularly once the process is under way. If the company has already been dissolved, that is a different situation which may require restoration or separate legal advice rather than an ordinary overdue accounts filing.

Some companies with overdue accounts may qualify for the micro-entity reporting framework, using FRS 105, which is the financial reporting standard applicable to qualifying entities under that framework. Eligibility is not automatic and does not follow simply from being a small business — the company's legal structure, accounting period and size all have to be considered, and a company's position can change between periods. We confirm the appropriate framework before any overdue filing is prepared.

Yes, these are separate compliance matters. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable — delivering overdue accounts to Companies House does not automatically satisfy HMRC obligations. A confirmation statement is also submitted to Companies House and is not the same as annual accounts, so filing overdue accounts does not replace it. Where any of these remain outstanding, they may need to be addressed individually with the relevant body.
