Company accounts become overdue when the statutory accounts a company is required to deliver to Companies House have not been filed by the applicable filing deadline. That deadline is not identical for every company — it depends on the company's accounting reference period and its particular circumstances. If the relevant date has passed and the accounts remain outstanding, the company has an unmet filing obligation, and the position should be addressed rather than left in place.

The reasons vary. A director may have believed the company was too small or too inactive to file, the bookkeeping records may be incomplete, or the company may have changed accountant partway through an accounting period. Sometimes the accounting reference date was simply misunderstood, or an earlier period was never finalised, which then affects the periods that follow. Whatever the cause, the filing obligation itself does not disappear, and the practical way forward usually begins with a review of what has been delivered to Companies House and what is still outstanding.

Yes, in most cases the outstanding accounts still need to be prepared and delivered to Companies House where the company is required to file them. An overdue filing does not remove the underlying obligation, and the accounts cannot usually be skipped simply because time has passed, the company has not traded, or no income was generated during the period. Filing overdue accounts does not, however, automatically resolve every other compliance matter — confirmation statements, Corporation Tax Returns and other filings may need to be dealt with separately.

It can. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations at Companies House, and if the applicable deadline passed without the required accounts being delivered, those accounts are overdue. Dormant status does not automatically exempt a company from filing, even though the content of dormant company accounts will differ from that of a trading company.
