What Makes Company Accounts Overdue, and Why It Matters

A limited company is generally required to prepare annual accounts and deliver them to Companies House by the applicable statutory deadline, which is calculated by reference to the company’s accounting reference date and its individual circumstances. When that deadline passes and the required accounts have not been delivered, those accounts are treated as overdue — the obligation itself does not disappear simply because time has moved on. Outstanding accounts can arise for many reasons: a first set of accounts was never prepared, bookkeeping fell behind, a director was unwell, a company changed accountant partway through the year, or a dormant company assumed there was nothing to file. In each case the position needs to be looked at properly rather than left to sit. The longer accounts remain outstanding, the more the matter can grow — additional accounting periods may fall due, Companies House may impose a late-filing penalty, and the company’s filing record becomes increasingly out of step with its actual position. It is also worth being clear that this is separate from other compliance tasks: statutory accounts go to Companies House where required, Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable, and a confirmation statement is a distinct filing in its own right. Company accounts become overdue when the applicable filing deadline for a set of statutory accounts has passed and those accounts have still not been delivered to Companies House. The deadline is not identical for every company — it depends on the company's accounting reference period and its particular circumstances. Being overdue is a filing position rather than a separate legal status: the requirement to prepare and deliver the accounts remains in place until it is met.

Yes. In most cases the accounts still need to be prepared and delivered to Companies House, even though the original deadline has passed. The passage of the deadline does not remove the underlying obligation. If more than one accounting period is outstanding, each period generally needs to be prepared and filed separately, as filing one set of accounts does not automatically resolve the others.

It can. Dormancy and overdue filing are two different things. A dormant company may still have annual accounts filing obligations and, if it did not deliver the required accounts by the applicable deadline, those accounts can be overdue. Dormant status is not a reason to assume that no filing is required, and we can review what applies to your company's circumstances before anything is submitted.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. Penalty levels are not identical in every case and depend on the circumstances, including how late the filing is for the period in question. A penalty and the obligation to file are separate matters — paying a penalty does not remove the requirement to prepare and deliver the outstanding accounts.

No. Settling a penalty does not discharge the filing obligation. The accounts still need to be prepared, approved by the director and delivered to Companies House. Where a penalty has been issued, whether an appeal may be possible depends on the circumstances and the applicable Companies House rules, and we can talk through the position with you rather than assume an outcome either way.

An overdue filing does not automatically mean a company is suspended or removed from the register. However, Companies House may take action against companies that repeatedly fail to meet their filing obligations, and continued non-compliance can increase the risk of compulsory strike-off action. If your company has already received a strike-off notice or has been dissolved, that situation may need separate advice, so please raise it with us at the outset so we can point you in the right direction.

It depends on the period being prepared and how the company has been run. Typically we would look for bookkeeping records, bank statements, sales invoices and expense records covering the relevant accounting period, together with company details, previous accounts if any, and information about the company's activities. For older periods the records may need to be reconstructed, and we can discuss what is realistically available before deciding how to proceed.

Some companies may qualify for the micro-entity reporting framework, which uses FRS 105, but not every company does. Whether micro-entity accounts are appropriate depends on the company's legal structure, accounting period and eligibility, and the overdue accounts may originally have needed to be prepared under a different framework such as small-company accounts. There is no automatic assumption that a small or dormant company's overdue accounts should be prepared as micro-entity accounts.

They are separate obligations. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. A confirmation statement is a further Companies House filing in its own right and is not replaced by filing overdue accounts. Submitting outstanding accounts does not automatically settle Corporation Tax or confirmation statement requirements, so we can review the wider compliance position alongside the accounts.
