Company accounts become overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. The deadline is not the same for every company — it depends on factors such as the accounting reference period, whether it has been changed, and the company's circumstances. Accounts commonly fall behind because of a change of accountant, incomplete bookkeeping records, an assumption that nothing needed filing during a quiet period, or simply losing track of which year was next due. Whatever the cause, the filing obligation remains until the accounts are prepared and delivered.

Yes. Missing the deadline does not remove the requirement to prepare and file the accounts — it means the filing is late and remains outstanding until it is completed. The accounts still need to be prepared in line with the applicable reporting framework and delivered to Companies House where required. Depending on the circumstances, a late-filing penalty may also apply, but that is a separate matter from the obligation to file.

It can. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts filing obligations at Companies House, and if those accounts were not delivered by the applicable deadline, they are overdue. Being dormant, not trading or having no income does not by itself cancel a filing obligation, so it is worth checking the company's Companies House record to confirm which periods, if any, remain outstanding.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that applies, if any, depends on how late the accounts are and on the company's circumstances, so not every company will face the same outcome. Where a penalty has been issued, whether it can be appealed depends on the circumstances and the applicable Companies House rules. We can explain how the penalty position interacts with your filing, but we cannot guarantee that a penalty will be reduced, removed or cancelled.

No. Paying a penalty and filing the outstanding accounts are separate matters. Settling a penalty does not satisfy the filing obligation, and delivering the accounts does not automatically cancel a penalty that has already been issued. A director may therefore need to deal with both: bringing the accounts up to date at Companies House and handling any penalty position separately, subject to the relevant requirements.

Where more than one accounting period is outstanding, each period generally needs to be addressed separately — several sets of accounts may need to be prepared and filed. Filing one set does not automatically resolve the others. We usually start by reviewing the company's Companies House record and available records to establish exactly which periods are open, then work through them in a sensible order. The information needed for each period will depend on the records available and the circumstances of that year.

Some companies may qualify for the micro-entity reporting framework, and where that is the case, micro-entity accounts may be an appropriate format for an overdue filing. It is not automatic — eligibility depends on the company's legal structure, accounting period, size and circumstances, and not every company that considers itself small will qualify. Where FRS 105 applies, it is the financial reporting standard used by qualifying entities under the micro-entity framework, but the applicable framework should be confirmed before the accounts are prepared.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. That said, an overdue filing does not automatically mean a company is suspended, dissolved or removed from the register. Where a company has already received a strike-off notice or has been dissolved, the position may require separate restoration steps or legal advice rather than a straightforward overdue accounts filing, and filing alone should not be assumed to prevent or reverse strike-off action. Overdue accounts can also sit alongside other outstanding matters, such as a confirmation statement to Companies House or an overdue CT600 Corporation Tax Return to HMRC, each of which is dealt with separately.
