Yes, in most cases the accounts still need to be prepared and delivered to Companies House where a filing obligation applies. The fact that the deadline has passed does not remove the requirement. Where a company has more than one outstanding accounting period, each period may need to be addressed separately, and filing one set of accounts does not automatically resolve the others.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations at Companies House, and if it did not deliver the required accounts by the applicable deadline, those accounts become overdue. Dormant status does not automatically exempt a company from filing, although the accounts that are required may take a different form depending on the company's circumstances.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty depends on the circumstances and the period of delay, so the amount is not the same for every company. Not every company will need to provide exactly the same documents, and where records are incomplete we can discuss what is available and how best to proceed before anything is prepared for submission to Companies House.

Some companies with overdue accounts may qualify for the micro-entity reporting framework, which uses FRS 105. However, not every small company qualifies, and eligibility is not automatic simply because a business is small or has low activity. The appropriate reporting framework — micro-entity accounts, small-company accounts or another applicable form of statutory accounts — must be considered in light of the company's legal structure, accounting period and circumstances.
