Companies House may impose a late-filing penalty where accounts are delivered after the deadline, and the position can become more serious the longer the accounts remain outstanding, although what applies depends on the circumstances of the company. A company's accounts become overdue when the filing deadline applying to its accounting period has passed and the required statutory accounts have not been delivered to Companies House. This is a filing position rather than an automatic change to the company's legal status. The deadline is generally based on the company's accounting reference date and its individual circumstances, so it can differ from one company to another. Once accounts are overdue, they remain outstanding until they are properly prepared and filed, and the Companies House record will continue to show the position as it stands.

There are several common reasons. A director may not have realised that an accounting period had ended, records may have been passed over incompletely after a change of accountant, a company may have paused trading and assumed there was nothing to file, or the bookkeeping may simply have fallen behind during a demanding period. In most cases the underlying issue is information rather than intent. Understanding why the deadline was missed is useful, but the practical priority is identifying exactly which periods are outstanding and preparing the accounts that should have been delivered.

In most cases they do. Dormancy and overdue filing are separate issues, and a dormant company can still have Companies House filing obligations. A company does not become exempt from filing simply because it has not traded or has no income. Where a company is genuinely dormant, dormant company accounts may be the appropriate route, subject to the applicable requirements, but the obligation to deliver accounts by the relevant deadline usually remains. If you are unsure whether dormant status applies to your company, we can review the position before any accounts are prepared.

When accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty. Whether a penalty applies, and the level of it, depends on the circumstances and on how late the filing is under the applicable rules. The penalty is also separate from the requirement to file: paying a penalty does not remove the need to prepare and deliver the outstanding accounts, and filing them does not automatically cancel or reduce any penalty already incurred. Where a penalty appeal might be considered, eligibility depends on the specific circumstances and the applicable Companies House rules.

Where a company has missed more than one filing deadline, each outstanding accounting period generally needs its own set of accounts prepared and delivered. Filing one period does not bring the others up to date automatically, and the earlier periods often need to be addressed first because later figures are built on them. The amount of work involved and the order in which periods are filed depend on how many are outstanding, what records are available and the company's circumstances. An overdue filing does not by itself suspend or dissolve a company. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been issued, or if the company has been dissolved, the situation may need separate advice, including restoration procedures where they apply, rather than being treated as an ordinary overdue accounts filing. Delivering outstanding accounts does not guarantee that strike-off action will be stopped or reversed.

Some companies may qualify for the micro-entity framework and file accounts prepared under FRS 105, the financial reporting standard applicable to entities using the micro-entity regime. Not every company qualifies, and eligibility depends on factors such as the company's size and circumstances for the relevant accounting period. An overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts, so the correct reporting framework is confirmed before preparation starts.
