Company accounts are treated as overdue when the applicable filing deadline has passed and the required accounts have not been delivered to Companies House. The accounts concerned may be statutory accounts prepared under whichever reporting framework applies to the company. Being overdue is about the delivery of the accounts by the relevant date, not about whether the company has traded, made a profit or had any activity during the period.

There is rarely one single reason. A previous accountant may have stopped acting, the bookkeeping records may be incomplete, a director may have assumed the filing was being handled elsewhere, or a change of year end or a first accounting period may have shifted the deadline unexpectedly. Whatever the cause, the position is usually easier to resolve once the outstanding accounting periods have been identified and the required information has been gathered for each one.

Yes. Where accounts have not been delivered by the deadline, the filing obligation remains, and the accounts still need to be prepared and filed with Companies House where required. Overdue accounts generally cannot be left simply because the company is small, dormant or not currently trading. If more than one accounting period is outstanding, each period may need to be dealt with separately, because filing one set of accounts does not usually resolve the others.

It can. Dormancy and overdue filing are separate matters. A dormant company may still have an annual accounts filing obligation with Companies House, so if the accounts were not delivered by the applicable deadline they can become overdue in the same way as those of a trading company, depending on the circumstances. Where a company meets the relevant criteria, dormant accounts still have to be prepared and filed, and the statutory deadline still applies.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The amount and severity of any penalty depends on the circumstances, including how late the accounts are, and Companies House applies its own published rules rather than a fixed outcome for every company. Filing the outstanding accounts does not automatically remove a penalty, and a penalty does not remove the requirement to file. Where you believe a penalty has been issued incorrectly, whether an appeal is possible depends on the circumstances and the applicable Companies House rules.

No. The penalty and the filing obligation are separate matters. Paying a penalty does not satisfy the requirement to deliver the accounts, so any outstanding statutory accounts would still need to be prepared and filed with Companies House where required. It is also worth checking whether other obligations remain open, such as a confirmation statement due to Companies House or Corporation Tax matters with HMRC, since these are dealt with separately from the accounts themselves.

If a strike-off notice has been received, the situation needs to be looked at carefully and without delay, because it goes beyond a straightforward overdue filing. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Whether filing the outstanding accounts addresses the notice depends on the circumstances and the stage the action has reached. Where a company has already been dissolved, restoration is usually a separate matter and specialist advice may be needed.
