Company accounts are overdue once the applicable Companies House filing deadline has passed and the required statutory accounts have not been delivered. That deadline is based on your company's accounting reference period and individual circumstances, so it is not identical for every company. An overdue filing simply means the accounts remain outstanding. It does not automatically change your company's status or remove the company from the Companies House register.

Yes, it can. Dormancy and overdue filing are separate matters. A dormant company can still have annual accounts filing obligations, and if the required accounts were not delivered by the applicable deadline, they can become overdue in the same way as any other company's accounts. Dormant status does not by itself remove the requirement to file, although what actually needs to be filed depends on the company's circumstances and the relevant requirements.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the penalty that may apply depends on the circumstances. Paying a penalty does not remove the requirement to file. The outstanding accounts still need to be prepared and delivered, and the two matters are treated separately. A director should not assume that settling a penalty brings the filing position to a close.

Where several periods are affected, each one may need its own set of accounts prepared and filed separately. Filing one period does not automatically resolve the others, and the order in which they are dealt with can depend on the relevant deadlines and the records available.
