What Overdue Company Accounts Mean for Your Company

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline. That deadline is not the same for every company: it depends on factors such as the company’s accounting reference period, whether it is filing a first set of accounts, and the company’s own circumstances. When the deadline passes and the required accounts have not been delivered, they become overdue. From that point, the outstanding accounts still need to be prepared, reviewed and filed — the obligation does not disappear because time has passed, the company has stopped trading or no further correspondence has arrived. Company accounts normally have to be delivered to Companies House by the applicable statutory deadline for the company's accounting reference period. Once that deadline passes and the accounts have still not been delivered, they are treated as overdue. Overdue filing simply means a deadline has been missed and the required accounts remain outstanding; it does not by itself mean the company has been suspended, dissolved or removed from the Companies House register.

There are several common reasons. A director may not have realised that accounts were due, the accounting reference date may have changed, bookkeeping records may be incomplete, or a previous accountant may have stopped acting for the company. Some directors also assume that no trading, no income or dormant status removes the need to file, which is not the case where a filing obligation applies. Where the deadline has passed without delivery, the accounts are overdue regardless of the reason.

Yes. Accounts that are already overdue still need to be prepared and delivered to Companies House where required. The fact that the deadline has passed, the company is not trading, or a penalty has been issued does not remove the filing obligation. Filing the outstanding accounts brings the Companies House record up to date for that period, but it does not automatically resolve other compliance matters such as confirmation statements or Corporation Tax filings, which are usually dealt with separately.

Yes, it can. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts filing obligations and, if the required accounts were not delivered by the applicable deadline, they can be overdue. Dormant accounts may still need to be prepared and filed where a filing obligation applies, and dormant status does not automatically exempt a company from filing.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that may apply depends on how late the accounts are and the type of company, and it is separate from the requirement to file. Paying a penalty does not remove the obligation to deliver the accounts and does not mean the filing has been dealt with.
