I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

Understanding Overdue Company Accounts and What Directors Need to Do Next

Company accounts become overdue when a company’s statutory accounts are not delivered to Companies House by the applicable filing deadline for the relevant accounting reference period. That deadline is not identical for every company — it can depend on factors such as whether the company is filing its first accounts, the length of the accounting period being reported on and the company’s particular circumstances. Once the date passes without the accounts being delivered, the filing is late and the accounts remain outstanding on the company’s Companies House record. Directors in New Mills and the surrounding area sometimes assume that overdue accounts can be left to one side because the company has not traded, has no income, or has stopped operating. In many cases that assumption carries risk. A dormant company can still have an annual accounts filing obligation, and dormancy and overdue filing are two separate matters. Leaving the position unresolved can also make later periods harder to prepare, particularly where bookkeeping records have not been kept up to date. What follows an overdue filing depends on the company in question. Companies House can impose late-filing penalties where accounts are delivered after the deadline, and prolonged or repeated non-compliance may lead to further action being considered. Preparing the outstanding accounts, having them reviewed and approved by the directors, and delivering them to Companies House is usually the first practical step — but it does not by itself settle separate obligations such as confirmation statements or Corporation Tax matters. We can look at exactly what is outstanding for your company and explain which requirements apply.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the statutory accounts for a particular accounting period were not delivered to Companies House by the applicable filing deadline, so the accounts remain outstanding on the company's record. The deadline itself depends on the company's accounting reference period and circumstances, which is why two companies can fall overdue at different points. Once the deadline has passed, the accounts still need to be prepared and filed where required — the obligation does not disappear simply because the filing is late.

Yes, in most cases the accounts still need to be delivered to Companies House where required. Overdue accounts are not cancelled or written off by the passage of time. Depending on the company's circumstances, the period in question may originally have fallen within the micro-entity framework under FRS 105, the small companies regime or another applicable form of statutory reporting, and the correct framework needs to be considered before preparation begins. We can review the position and assist with bringing the filing up to date.

Yes. Dormancy and overdue filing are separate issues. A company may be dormant for Corporation Tax purposes and still have an annual accounts filing obligation at Companies House, and if those accounts were not delivered by the applicable deadline they become overdue in the same way as any other outstanding filing. Dormant companies can also have other obligations that need attention, such as submitting a confirmation statement and keeping their Companies House information current.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that may apply depends on the circumstances, including the length of the delay, so not every company will receive the same outcome. Filing the accounts does not automatically remove or cancel a penalty that has already been incurred. Where a penalty has been issued, whether an appeal is possible depends on the circumstances and the applicable Companies House rules, and the requirement to file remains a separate matter from the penalty itself.

No. Paying a penalty and filing the outstanding accounts are separate matters. Payment does not discharge the filing obligation, and delivering the accounts does not automatically cancel a penalty that has already been charged. Both issues generally need to be dealt with, alongside any other outstanding compliance matters the company may have. We can help you review the company's overall position so that each requirement is addressed in the right order.

Where more than one period is outstanding, each period generally needs to be addressed separately, which can mean preparing and filing several sets of accounts, often in the correct sequence. Filing one set does not automatically resolve the others. The records and information needed may differ from period to period, particularly if bookkeeping has lapsed or the company's reporting framework has changed. Mapping out exactly what is missing before work begins usually makes the process more straightforward.

Yes. Statutory accounts are filed with Companies House where required, a CT600 Corporation Tax Return is submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing. Delivering overdue accounts to Companies House does not automatically satisfy a company's Corporation Tax obligations, and filing accounts does not replace a confirmation statement. Where several filings are outstanding, we can help identify which ones are due to which authority.

We review what is outstanding, confirm which accounting periods need attention and prepare the statutory accounts for those periods. Once the accounts have been reviewed and approved by the directors, we can assist with delivery to Companies House. Where other matters apply, such as Corporation Tax returns or a confirmation statement, these can be considered alongside the accounts work. Our pricing is clear and fixed with no hidden costs, and our accountants are fully qualified and regulated by ICAEW, ACCA and AAT.
