The accounts generally still need to be prepared and filed, and the company's filing position can usually be brought up to date with the right support. The deadline that applied depends on the company's accounting reference period and its particular circumstances rather than a single date applied to every company.

Yes. Dormancy and overdue filing are two separate issues. A dormant company may still have annual accounts filing obligations at Companies House, and if the required accounts were not delivered by the applicable deadline, those accounts are overdue regardless of the fact that the company was not trading. Dormant status does not automatically remove the need to file, so it is worth checking exactly what remains outstanding before assuming nothing is required.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The penalty that may apply depends on the circumstances and the length of the delay, and it is separate from the obligation to file the outstanding accounts. Paying a penalty does not remove the requirement to prepare and deliver the accounts. There is no guarantee that a penalty will not be issued, and no accountant can promise to reduce, cancel or remove one automatically.

Settling a late-filing penalty does not satisfy the requirement to prepare and deliver the statutory accounts to Companies House, and the outstanding accounts would still remain outstanding. Where several accounting periods are outstanding, each one may need to be addressed separately. That usually means preparing more than one set of accounts, working through the periods in the right order and checking that the underlying records support each one. Filing a single set of accounts does not automatically resolve the other outstanding periods, so it is sensible to review the full position first and set out a clear order of work.

Some companies may qualify for the micro-entity reporting framework, which is set out in FRS 105, but eligibility is not automatic simply because a business is small. The company's legal structure, accounting period, size and circumstances all need to be considered before deciding which framework applies. A company with overdue accounts may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts, so the correct basis should be confirmed before preparation begins.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any Corporation Tax obligations the company may have. If both sets of filings are outstanding, they are separate compliance matters and each needs to be dealt with on its own terms.
