Overdue company accounts are the statutory accounts a limited company was required to deliver to Companies House by its applicable filing deadline, but which have not yet been filed. The accounts become overdue once that deadline passes — regardless of whether the company has continued trading, reduced its activity or stopped trading altogether. Being overdue is about the missed filing date, not about how well the business is performing.

Yes. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts filing obligations, and if those accounts were not delivered by the applicable deadline, the company can be overdue even though it has not traded. If your company is dormant and you are unsure what is due, we can review the Companies House record and the accounting periods concerned, then confirm the appropriate route.

In most cases, yes. The obligation to prepare and deliver statutory accounts for an outstanding period does not disappear simply because the deadline has been missed. Where a company has more than one outstanding accounting period, each period may need to be addressed separately, as filing one set of accounts does not automatically resolve the others. The precise requirements depend on the company's circumstances, so it is worth establishing the full list of outstanding periods first.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the penalty position depends on the circumstances of the filing. Paying a penalty does not remove the requirement to file the outstanding accounts — these are two separate matters. It is also worth noting that in general, the longer accounts remain outstanding, the more serious the consequences may become, which is one reason directors usually look to resolve overdue filings sooner rather than later.

No, these are separate compliance matters. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. A confirmation statement is also submitted to Companies House, but it is a distinct filing from the annual accounts and does not replace them. Filing overdue accounts does not automatically satisfy any overdue Corporation Tax obligations or confirmation statement requirement, so it is sensible to check each area in turn.

This depends on the stage the company has reached. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action, but an overdue filing does not mean a company has automatically been dissolved or removed from the register. If a strike-off notice has already been issued — or the company has been dissolved — the position may need separate restoration or legal advice rather than being treated as a routine overdue accounts filing, so please tell us about it when you get in touch.

Possibly, depending on the company. Some companies that have overdue accounts may qualify for the micro-entity reporting framework, but not every company does, and the right framework depends on the company's legal structure, accounting period, size and eligibility. FRS 105 is the financial reporting standard that applies to qualifying entities using the micro-entity framework. If a company does not qualify, small-company accounts or another applicable form of statutory accounts may be appropriate instead, and an overdue filing does not change which framework the company is entitled to use.

What is needed varies by company and by the accounting period being prepared, but it commonly includes bookkeeping records, bank statements, invoices, expense records, details of any assets or liabilities, the company details held at Companies House, and copies of previously filed accounts where available.
