Company accounts are overdue when the statutory deadline for delivering them to Companies House has passed and they have not been filed. That deadline is based on the company's accounting reference period and can differ between a first set of accounts and later sets, so there is no single date that applies to every company. It is worth checking the company's filing history on the Companies House register, along with correspondence sent to the registered office, to establish exactly which accounting periods remain outstanding before any decisions are made.

Yes. An overdue filing means the deadline has passed; it does not remove the obligation itself. The accounts still need to be prepared and delivered to Companies House where required. Any late-filing penalty is a separate matter from the filing, so paying a penalty does not take away the need to file, and submitting the accounts does not automatically cancel a penalty that has already been applied. Where applicable, we can review what remains outstanding and assist with bringing it up to date.

It can. Dormancy and overdue filing are separate issues. A company may be dormant and still have an annual accounts filing obligation at Companies House, and if that filing is missed, the accounts become overdue in the usual way. Dormant status does not automatically exempt a company from filing, and the position depends on the company's circumstances for the period in question. If you are unsure whether your company is genuinely dormant for filing purposes, it is worth having that reviewed rather than assuming nothing needs to be submitted.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The level of any penalty depends on the circumstances, including how late the filing is and the type of company, and not every company receives the same penalty. Paying a penalty does not remove the requirement to file the outstanding accounts, and it does not automatically mean the company's filing position is resolved. Whether any appeal is possible depends on the circumstances and the applicable Companies House rules.

Where several periods are outstanding, each set of accounts generally needs to be prepared and filed separately, and later accounts often rely on figures from the earlier ones. That usually means the oldest outstanding period is addressed first so the records reconcile properly. There is no single schedule that suits every company, and the work involved depends on the quality of the records available and how many periods are concerned. We can review the position and set out what is needed for each period in turn.

Companies House may take action against companies that do not meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. That does not mean every company with an overdue filing will be struck off, and the outcome depends on the circumstances. If a company has already received a strike-off notice, or has been dissolved, the situation may need to be handled separately — for example through restoration or with legal advice — rather than being treated as an ordinary overdue accounts filing.

Yes, they are separate compliance matters. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement is filed with Companies House quite separately from the annual accounts. Filing overdue accounts therefore does not automatically satisfy HMRC obligations, nor does it take the place of a confirmation statement. Companies with more than one outstanding item may need to deal with each of them, and we can help identify what is still due.
