Accounts become overdue when the applicable filing deadline has passed and the required statutory accounts have not been delivered to Companies House. It is a question of whether the deadline has been met and whether the accounts have been filed — not simply whether the company has been trading or earning income. If your accounts are outstanding, the filing obligation remains in place and can be addressed by preparing and delivering the accounts as required.

In many cases, yes. Dormant companies can still have Companies House filing obligations, and dormancy does not automatically exempt a company from filing annual accounts. Dormancy and overdue filing are separate issues: a dormant company can have overdue accounts if it failed to deliver the required accounts by the applicable deadline. Depending on the circumstances, a dormant company may file a simpler set of accounts, but the position should be checked rather than assumed.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline, and the level of penalty generally increases with the length of the delay. Penalty amounts are set by Companies House and depend on the company's circumstances and filing history, so we do not quote figures here. Paying a penalty does not remove the requirement to file the outstanding accounts — filing and penalties are separate matters.

Where several periods are outstanding, each one may need to be addressed separately, which usually means preparing more than one set of accounts. Filing a single period does not automatically clear the others. We can look at the full picture for your company, set out which periods need attention and work through them in a sensible order.

Persistent failure to meet filing obligations can lead to further action by Companies House, and in serious or repeated cases this may increase the risk of compulsory strike-off action. It does not follow that every company with overdue accounts will be dissolved. If your company has already received a strike-off notice, or has been dissolved, that situation may need separate restoration or legal advice rather than being treated as a straightforward overdue accounts filing.

Some companies may qualify for the micro-entity reporting framework, which is set out in FRS 105, but not every company does. Eligibility depends on factors such as the company's size, legal structure, accounting period and circumstances. A company with overdue accounts may originally have been required to prepare micro-entity accounts, small-company accounts or another form of statutory accounts, so the appropriate framework should be confirmed before preparation begins.

Not automatically. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable — these are separate compliance matters. A confirmation statement is also separate from annual accounts and is submitted to Companies House. Where a company is behind on several fronts, each obligation may need to be dealt with in its own right.
