Accounts become overdue when the statutory filing deadline for the company has passed and the required accounts have not been delivered to Companies House. That deadline is set by reference to the company's accounting reference period and its individual circumstances, so it is not the same for every business. Being overdue does not mean the obligation disappears: the accounts still need to be prepared and delivered where they are required, and the sooner that is done, the sooner the company's record can be brought up to date.

The reasons are usually ordinary ones. A director may not have realised the deadline had passed, the bookkeeping may not have been completed, there may have been a change of accountant, or the company may have had a quiet period and it was assumed nothing needed to be filed. In practice, the filing duty follows from the company's reporting obligations rather than its level of trading activity, so it is worth checking the position rather than assuming no filing is due.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the accounts required for a particular period were not delivered by the applicable deadline, that filing can be overdue even though the company was not trading. Assuming that dormant status removes the requirement to file is a common misconception, so it is sensible to confirm what Companies House currently holds for the company.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. Whether a penalty applies, and how it is assessed, depends on the company's circumstances and how late the filing is — it is not identical in every case. Filing the outstanding accounts and any penalty are separate matters. Submitting the accounts does not automatically remove or reduce a penalty, and paying a penalty does not remove the requirement to file. Where a penalty has been issued, eligibility to appeal depends on the circumstances and the applicable Companies House rules, and we can review the position with you.

Where several accounting periods are outstanding, each one generally needs to be addressed separately, which may mean preparing and filing more than one set of accounts. The work involved depends on the records available for each period and on the company's circumstances. Bringing one period up to date does not automatically resolve the others, so we usually start by confirming exactly which periods remain open before preparing anything.

They can, where the company meets the eligibility conditions for the micro-entity framework at the relevant time. Not every small company qualifies, and the framework that applies can differ from one accounting period to another. FRS 105 is the financial reporting standard used by qualifying entities within the micro-entity framework, and eligibility must be considered alongside the company's legal structure, accounting period and circumstances before the correct basis of preparation is confirmed.

An overdue filing does not automatically change a company's status, and not every company with late accounts is struck off. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Filing the outstanding accounts does not guarantee that any action already under way will be stopped or reversed. If a strike-off notice has been received, or the company has already been dissolved, the matter may need separate restoration or legal advice rather than being treated as a straightforward overdue filing.
