What Makes Company Accounts Overdue, and Why It Pays to Act Early

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is set by reference to the company’s accounting reference period and its individual circumstances. When that date passes and the required accounts have not been delivered, the accounts become overdue — there is no separate notification needed to make that the case. Directors of companies in March sometimes assume that a quiet trading year, a dormant period or a change of accountant means nothing needs to be filed, but dormant companies and non-trading companies can still have Companies House filing obligations, and an outstanding set of accounts remains outstanding until it is prepared and delivered. Companies House can apply late-filing penalties when accounts are received after the deadline, and the longer the accounts remain unfiled, the more serious the position may become, although the exact consequences depend on the company’s circumstances and the number of periods involved. Addressing overdue accounts promptly means the position is known, the relevant periods are identified and the accounts can be prepared on the correct basis — whether that is micro-entity accounts under FRS 105 where the company qualifies, small-company accounts or another applicable reporting framework. Filing outstanding accounts with Companies House does not, by itself, settle any penalty that may apply, and it does not automatically deal with confirmation statements, Corporation Tax Returns such as CT600 submitted to HMRC or other separate compliance matters, so these are usually reviewed alongside the accounts.

The deadline itself depends on your company's accounting reference period and individual circumstances, so it is worth checking your company's filing history and the period concerned rather than relying on memory.

Yes. Accounts that are overdue still need to be prepared and delivered to Companies House where they are required, and the filing obligation does not disappear simply because the deadline has passed. The relevant accounting periods will need to be identified and each set of accounts prepared on the appropriate basis before submission.

It can. Dormancy and overdue filing are separate issues, and dormant status does not automatically remove the requirement to file annual accounts. A dormant company that did not deliver its accounts by the applicable deadline will still have outstanding filing obligations at Companies House, and the position can usually be reviewed and resolved.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the amount can vary depending on how late the accounts are and the company's circumstances. Paying a penalty does not remove the requirement to file the outstanding accounts — the two matters are dealt with separately.

In many cases, yes. Where more than one accounting period is outstanding, each period generally needs its own set of accounts prepared and delivered, and filing one period does not automatically resolve the others. The number of periods involved and the work required will depend on the company's records and circumstances.

An overdue filing does not by itself change a company's status or remove it from the register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If your company has already received a strike-off notice or been dissolved, that situation may need separate advice, including whether restoration is relevant.

Some companies may qualify for the micro-entity reporting framework and FRS 105, but not every company does, and small size alone does not confirm eligibility. The appropriate basis — micro-entity, small-company or another applicable framework — depends on the company's legal structure, accounting period, size and circumstances, and should be confirmed before the accounts are prepared.

No. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing. Bringing overdue accounts up to date does not automatically satisfy those other obligations, so it is worth reviewing them at the same time so nothing is overlooked.
