It means the filing deadline for those accounts has passed and the accounts have not yet been delivered to Companies House. This is separate from any penalty that may apply, and separate from the company's other filing obligations — a company can have overdue accounts while its confirmation statement is up to date, or the reverse can be true. If you are unsure which periods are outstanding, we can review the Companies House record for your company and confirm what still needs to be prepared and filed.

In most cases, yes. Not trading does not, by itself, remove the requirement to deliver annual accounts to Companies House where that requirement applies. A dormant company can still have an annual accounts filing obligation, and where the applicable deadline has passed, those accounts are overdue. Dormancy and overdue filing are separate issues: whether accounts should have been filed depends on the company's position and the relevant requirements, and a lack of trading activity does not automatically mean the company was exempt.

The reasons are usually practical rather than dramatic. A director may have assumed someone else was handling the filing, records may have been incomplete, the company may have changed accountant partway through a period, or a difficult trading year may have made preparing the figures feel easier to postpone. Some directors believe the company is too small to need accounts, or that nothing needs filing because there was no activity. Whatever the cause, once the deadline has passed without delivery, the accounts are overdue and the requirement to file them remains.

Companies House can apply a late-filing penalty where accounts are delivered after the applicable deadline. Whether a penalty applies, and how it is assessed, depends on the circumstances and the applicable Companies House rules, so it is not a fixed outcome for every company. We can prepare and file the outstanding accounts accurately and explain the position clearly so you understand what may apply in your case. We cannot promise that a penalty will be reduced, removed or cancelled.

No. The penalty and the filing obligation are separate matters. Paying a penalty does not satisfy the requirement to prepare and deliver the outstanding accounts, and it does not automatically cancel or reduce anything. The accounts still need to be prepared and filed. Where a penalty has been issued, whether an appeal is possible depends on the circumstances and the applicable Companies House rules — we can review the position with you, but no particular outcome can be guaranteed.

Each outstanding period generally needs to be addressed in its own right, which means several sets of accounts may need to be prepared and filed. Working through them in the correct order matters, because later periods often depend on the position and figures established in earlier ones. We can review what remains outstanding, explain what information is needed for each period, and manage the filings so the company's record is brought up to date in a structured way. Filing one set of accounts does not automatically resolve the other periods.

Yes. Statutory accounts are prepared and delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy any outstanding Corporation Tax obligations the company may have. Where both are outstanding, they are separate compliance matters and each needs to be dealt with in its own right.
