It means the statutory filing date for a set of annual accounts has passed and those accounts have not been delivered to Companies House. The accounts remain outstanding until they are filed. Being overdue does not, by itself, mean that a company has been dissolved or removed from the register. It does mean there is an unmet filing obligation that generally still needs to be addressed.

There are many reasons. A director may have assumed the accountants were handling it, bookkeeping records may be incomplete, a company may have stopped trading and been overlooked, or there may have been a change of accountant partway through a period. Sometimes the accounting reference date is simply misunderstood, particularly for a first set of accounts. Whatever the cause, the filing obligation still applies and the accounts will need to be prepared and delivered to Companies House where required.

Yes, in most cases. The fact that a deadline has passed does not remove the requirement to prepare and deliver statutory accounts to Companies House where that requirement applies. It is also worth remembering that an overdue filing and any late-filing penalty are separate matters. Paying a penalty does not settle the filing itself, and filing the accounts does not automatically cancel a penalty that has already been issued.

It can. Dormancy and overdue filing are two different things. A dormant company may still have annual accounts filing obligations at Companies House, and if those accounts were not delivered by the applicable deadline, they will be shown as overdue. Being dormant, not trading or having no income does not automatically exempt a company from filing, so the company's filing record should be checked rather than assumed.
