We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Acting Early

Company accounts become overdue when the filing deadline for a particular accounting reference period has passed and the required accounts have not been delivered to Companies House. That deadline is tied to the company’s own accounting period and circumstances, so it is not identical for every company — which is why checking the position period by period matters more than assuming a general rule applies. Outstanding accounts still have to be prepared and filed; leaving them unresolved does not remove the obligation, and continued non-compliance can lead to further correspondence or action from Companies House. Late delivery can also attract a late-filing penalty, and while the penalty and the filing obligation are separate matters, both usually need addressing. For directors in Loughborough, the practical starting point is the same: establish exactly which periods are outstanding, gather the records behind them, and prepare accounts that reflect the correct reporting framework. Older periods may have required micro-entity accounts, small-company accounts or another form of statutory accounts when they fell due, and that depends on the company’s size, structure and accounting period. We can review your circumstances, prepare what is outstanding and assist with the Companies House filing so your company’s records move back towards a compliant position.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Outstanding Accounts Weighing on You? We Can Help You Bring Them Up to Date

Overdue accounts tend to sit on a director’s mind long after the deadline has passed, and the uncertainty about what Companies House expects can feel worse than the filing itself. Micro Entity Accounts can take that forward: we review your outstanding filing requirements, prepare the accounts for each period that needs attention, and assist with the Companies House submission once you have reviewed and approved the figures. From there we can talk you through any related matters, such as Corporation Tax or confirmation statements, that may need dealing with separately. Tell us where your company currently stands and we will set out the practical next steps.

It means the statutory filing deadline for a particular accounting reference period has passed and the required accounts have not been delivered to Companies House. The accounts remain outstanding until they are prepared and filed, and the company keeps that filing obligation regardless of whether trading has paused or the year was quiet. An overdue position is therefore about a missed deadline and an outstanding filing, not about the company's status changing automatically.

In practice it is usually a mix of simple, human reasons: records were not kept up to date, a director was unwell or away, an accountant was not appointed in time, or the company assumed nothing needed filing because there was little activity. Because filing deadlines follow the company's own accounting reference period, it is easy to lose track of them, particularly in the first year or two of trading. Whatever the cause, the position is generally easier to correct the sooner it is reviewed.

Yes. Accounts that have passed their deadline still need to be prepared and delivered to Companies House where the company is required to file. Preparing and filing statutory accounts is a separate matter from any HMRC Corporation Tax obligation such as a CT600 return, and both can apply to the same accounting period, so it is worth checking each one individually. The same applies to the confirmation statement, which is a separate Companies House filing. Where documents require your review and authorisation before submission, we will make that step clear so you know what is being filed on the company's behalf.

It can. Dormancy and overdue filing are two different things: a dormant company may still have annual accounts filing obligations at Companies House, and if those accounts were not delivered by the applicable deadline, they are overdue. Assuming that dormancy removes the need to file is a common and costly misunderstanding. If your company has been dormant, we can confirm what is outstanding for each period and what needs to be prepared.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that applies, if any, depends on the circumstances and the relevant rules, so it is not something that can be calculated in advance without knowing the full position. Paying or disputing a penalty is separate from the requirement to file the accounts themselves, and appeals against penalties are only available where the circumstances and the applicable Companies House rules allow.

Yes. Settling a penalty does not settle the underlying filing obligation, because the two are separate matters. The accounts still need to be prepared and delivered to Companies House where required, and until that happens the company's record shows the period as outstanding. No accountant can promise to reduce, remove or cancel a Companies House penalty, but we can explain how the filing process works and help you get the accounts into a submittable state.

Where more than one period is outstanding, each one generally needs to be addressed, which usually means preparing and filing several sets of accounts rather than a single catch-all submission. The information required can differ between periods depending on the company's activity and circumstances at the time. We work through the periods methodically, starting by confirming exactly which ones remain outstanding and what records are available for each.

They may be, but only if the company qualifies for the micro-entity framework for the period in question. Eligibility depends on factors such as the company's size, structure and accounting period, and it is not automatic simply because a business is small. FRS 105 is the financial reporting standard that applies to entities using the micro-entity framework. If your company does not qualify, small-company accounts or another applicable form of statutory accounts may instead be required, and we will confirm which framework fits once we have reviewed the position.
