The deadline itself depends on the company's accounting reference period and its particular circumstances, so it is worth checking the company's filing history on the Companies House register to confirm exactly which periods remain outstanding.

In most cases, yes. The filing obligation does not disappear because the deadline has passed, and the accounts still need to be prepared and delivered to Companies House where required. Paying any late-filing penalty does not remove that requirement — the penalty and the outstanding filing are separate matters.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have an annual accounts filing obligation, and if the required accounts were not delivered by the applicable deadline, the accounts can be overdue. Dormant status does not automatically mean the accounts are exempt.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty depends on the circumstances and how late the filing is, and eligibility for an appeal against a penalty depends on the applicable Companies House rules. Filing the outstanding accounts and dealing with any penalty are two distinct steps.

Not usually. Where more than one accounting period is outstanding, each period may need its own set of accounts prepared and filed, so filing one period does not automatically clear the others. We can review the company's filing history to establish exactly which periods need attention and in what order.

Overdue accounts do not automatically change a company's status. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been issued, or the company has been dissolved, the position is different from a straightforward overdue filing and may require separate advice.

They are separate compliance matters. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. A confirmation statement is also separate from the annual accounts. Filing overdue accounts does not automatically satisfy those other obligations, so they may need to be addressed individually.

It depends on the company's circumstances and the accounting period being prepared. Typically we would look at bookkeeping records, bank statements, invoices, expense records, previous accounts and current company details, but the exact list varies from company to company. Some companies with overdue filings may qualify for the micro-entity framework under FRS 105, while others need small-company or another form of statutory accounts — eligibility has to be considered before the reporting framework is confirmed.
