We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Does It Mean When Company Accounts Are Overdue?

The statutory accounts of a UK company must normally be delivered to Companies House within a set period after the end of the company’s accounting reference period. If those accounts are not with Companies House by the relevant deadline, they become overdue. Late filing can happen for many reasons – the pressure of running a business, loss of records, illness, or simply not realising a deadline had passed. Whatever the circumstances, the accounts do not cease to be required: once an accounting period has passed without a filing, it remains outstanding until the correct accounts are prepared and delivered. Companies that have missed a deadline also run the risk of a late-filing penalty from Companies House, and the longer the accounts remain overdue, the more serious the position can become. In some cases, persistent failure to file may lead to a warning letter, to action from Companies House and, eventually, to the risk of compulsory strike-off. However, the specific requirements and consequences depend on the company’s own circumstances, including its size, its accounting period and whether it is dormant or active. Reviewing the position early is the most reliable way to understand what needs to be done.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Overdue Company Accounts FAQs

Company accounts are overdue when the required annual accounts have not been delivered to Companies House by the statutory deadline for that accounting period. The period typically runs from a company's accounting reference date, but exact deadlines depend on individual circumstances. Once the deadline has passed, the accounts remain outstanding until they are filed.

Yes. Overdue accounts do not disappear simply because the deadline has passed. The company remains under an obligation to deliver the outstanding accounts to Companies House, and filing them is the usual way to bring the filing history back up to date. If you are unsure which periods are outstanding, a check of the Companies House register can clarify the position.

Yes, they can. Dormancy does not remove the requirement to file annual accounts at Companies House in all cases. A dormant company may still have a filing obligation for each accounting period, and if the correct accounts are not delivered by the deadline, those accounts become overdue. If you believe the company qualifies for exemption from audit or other filing concessions, the accounts themselves still need to be prepared and submitted to Companies House where required.

If accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty. The amount of any penalty depends on how late the accounts arrive and on the company's circumstances. Late filing also remains a separate issue from any penalty: paying a penalty does not remove the obligation to file the overdue accounts. The company's records will continue to show that the filing was late until the accounts are submitted.

If several years of accounts have not been filed, each outstanding accounting period generally needs its own set of statutory accounts prepared and filed with Companies House. The information required for earlier periods may be more difficult to reconstruct, but the accounts will still need to be based on the company's records and applicable reporting framework. We can review the number of overdue periods and help confirm what documentation you may need to gather before preparing the filings.

Overdue accounts alone do not automatically trigger dissolution or removal from the register. However, Companies House takes late-filing obligations seriously, and persistent failure to file can lead to warnings or more serious action, such as the risk of compulsory strike-off. If you have already received correspondence about strike-off, it is important to understand whether the company is still on the register and what you need to do next. Filing overdue accounts may form part of that process, but in more serious cases separate restoration steps or legal advice may be needed.

The documents and records required depend on the company's circumstances and the accounting periods involved. Typically, we may need bank statements, details of income and expenses, invoices, previous accounts if available, and confirmation of any directors' or shareholders' transactions. The company may also have information held with HMRC or its payroll provider that can be used to support the accounts. We can advise on exactly what is needed once you provide the basics.

No. Overdue statutory accounts are filed with Companies House, but Corporation Tax Returns (such as a CT600) are submitted separately to HMRC where required. If a company has missed Corporation Tax returns or other HMRC filings, these remain separate compliance matters. We can help clarify the difference and assist with statutory accounts preparation and Companies House filing, while making sure you understand what HMRC obligations may still need attention.
