Late micro-entity accounts filing occurs when a qualifying company fails to deliver its statutory accounts to Companies House by the applicable deadline. Even if the deadline has passed, the accounts must still be prepared and filed. Depending on how late the filing is, Companies House may issue a late-filing penalty, which is separate from the ongoing obligation to file.

Late micro-entity accounts filing refers to a qualifying company not delivering its statutory micro-entity accounts to Companies House by the statutory deadline. This can result in a late-filing penalty, but the accounts still need to be filed as soon as possible.

If your accounts are filed late, Companies House may issue a late-filing penalty. The amount can vary depending on how late the accounts are filed, and the penalty is in addition to the requirement to file the outstanding accounts.

Yes, even if the deadline has passed, you must file the overdue accounts with Companies House. Paying any late-filing penalty does not remove the obligation to file.

Yes, if your company meets the qualifying conditions for a micro-entity. For accounting periods beginning on or after 6 April 2025, the thresholds are turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees – meeting at least two of these. Historical thresholds may apply to earlier periods.

FRS 105 is the financial reporting standard for micro-entities. If your company qualifies as a micro-entity, your overdue accounts must be prepared under FRS 105, unless you are ineligible or choose not to use the framework.

Overdue statutory accounts are filed with Companies House, while a Corporation Tax Return (CT600) is submitted to HMRC separately. Filing accounts with Companies House does not automatically satisfy your HMRC filing obligations.

If more than one set of accounts is outstanding, each period must be addressed. We can help you bring all overdue accounts up to date, but the process may take longer and involve additional filings.
