We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

───Late filing explained

What does late micro-entity accounts filing mean?

Late micro-entity accounts filing refers to the situation where an eligible company has not submitted its statutory accounts to Companies House by the applicable deadline. If your accounts are overdue, it is important to address this promptly. Our team can prepare and file your outstanding micro-entity accounts, helping you meet your obligations. Depending on how late the filing is, Companies House may issue a late-filing penalty, but we can review your circumstances and assist you in getting back on track.

Companies House Late Filing Penalties

Penalties are charged automatically based on how late your accounts are delivered, and they double where accounts were also filed late for the previous financial year. The figures below apply to accounts delivered after the statutory deadline.

How late the accounts are Private company Public company
Up to 1 month late
£150
£750
1 to 3 months late
£375
£1,500
3 to 6 months late
£750
£3,000
More than 6 months late
£1,500
£7,500

Penalty levels are set by Companies House and may change. Separate HMRC penalties and interest may apply to late Corporation Tax Returns and unpaid tax. View the latest Companies House late filing penalty guidance.

─── Our late filing service

What's Included in Our Late Micro-Entity Filing Service?

Our fixed-fee service covers the accounts and filing requirements typically needed by qualifying micro-entity companies, from preparation to submission.

Overdue Accounts Preparation

We review the available bank statements, invoices and financial records and prepare the relevant micro-entity accounts based on the information available and the applicable reporting requirements.

Companies House Late Filing

Where applicable, we prepare the relevant statutory accounts and complete the Companies House filing process once the required information and approvals are in place.

Late Corporation Tax Returns

We prepare and file the matching CT600 returns with HMRC, calculate the tax due and confirm interest or penalty positions.

Multiple Year Catch-Up

Two, three or more years behind? We review each outstanding accounting period and prepare the relevant accounts in an appropriate sequence based on your company's circumstances and filing requirements.

Penalty Appeal Support

Where appropriate, we can review whether there may be grounds for an appeal and assist with preparing relevant supporting information. Any decision remains with the relevant authority.

Strike-Off & Dormant Filings

We can review the circumstances of a dormant company or proposed strike-off and help identify the relevant outstanding filing requirements.

What happens if you keep filing late?

If your company repeatedly files statutory accounts late, the consequences can become more serious. Each late filing is a separate breach of Companies House requirements and may result in further penalties. Over time, continued non-compliance could lead to enforcement action, including the possibility of the company being struck off the register.

  • Your company will still need to file the overdue accounts, even if penalties are incurred.
  • Persistent late filing may lead to increased penalties and potential legal consequences.
  • Companies House may take steps to strike off the company if filing obligations are repeatedly ignored.

Behind on More Than One Accounting Period?

If your company has more than one outstanding set of accounts, the situation may require a review of the company’s filing history and available financial records. Micro Entity Accounts can help you understand which periods may need attention and discuss the work required to prepare the relevant outstanding accounts.

Late micro-entity accounts filing occurs when a company eligible for the micro-entity regime does not deliver its statutory accounts to Companies House by the statutory deadline. This is a breach of the Companies Act and can result in a late-filing penalty. Even if the deadline has passed, the accounts still need to be prepared and filed.

If your accounts are filed late, Companies House will likely issue a late-filing penalty. The amount depends on how late the accounts are filed and the rules applicable at the time. It is important to note that paying the penalty does not remove the requirement to file the overdue accounts. We can assist you in preparing and filing them as soon as possible.

Yes, overdue accounts must still be filed with Companies House. There is no amnesty for late filing. Even if you have already incurred a penalty, the statutory accounts remain outstanding until they are delivered. Our team can help you prepare the necessary financial statements and file them correctly.

Yes, an accountant experienced in micro-entity reporting can help bring your accounts up to date. We can prepare the accounts under FRS 105, ensuring they meet the required format and content, and file them with Companies House on your behalf. This can be particularly helpful if you have multiple periods outstanding or are unsure about your reporting obligations.

Qualification for the micro-entity framework depends on the company's size, not on whether its accounts are filed on time. For accounting periods beginning on or after 6 April 2025, a company generally qualifies if it meets at least two of the following conditions: annual turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. However, eligibility must be assessed in light of the specific accounting period and applicable rules. Being late with filings does not automatically disqualify a company, but the accounts must still be prepared under the appropriate framework.

FRS 105 is the financial reporting standard for micro-entities in the UK. It sets out the simplified accounting and disclosure requirements for companies that qualify for the micro-entity regime. If your company is eligible, your overdue accounts must be prepared in accordance with FRS 105. We can ensure that your late accounts comply with the standard, making the filing process smoother.

Statutory accounts are filed with Companies House, while Corporation Tax Returns (CT600) are submitted to HMRC. Filing your overdue accounts with Companies House does not automatically satisfy your HMRC obligations. If you also need to file a CT600 or pay Corporation Tax, we can help you with both aspects, but they are separate processes.

If you have multiple overdue accounting periods, it is important to bring them up to date as soon as possible. Each period requires its own set of statutory accounts and must be filed separately. We can prepare and file the accounts for each period, ensuring consistency and accuracy. This may also help you avoid further penalties and reduce the risk of enforcement action.
