What Is FRS 105? The Micro-Entities Regime Explained

FRS 105 — formally titled The Financial Reporting Standard applicable to the Micro-entities Regime — is the UK accounting standard written specifically for the smallest companies. If your company qualifies as a micro-entity and you decide to adopt the micro-entities regime, FRS 105 is the framework you use to prepare your annual financial statements. In everyday terms, it lets you produce a much shorter and simpler set of accounts than larger companies: fewer disclosure notes, a simplified balance sheet, and a profit and loss account that is prepared on a straightforward basis. Importantly, the micro-entities regime is a choice. Qualifying companies are entitled to use it, but they are not forced to — some directors prefer a different framework such as FRS 102 if they want more detailed reporting, need particular accounting treatments, or have lenders and investors who expect more information. Where the regime is used, FRS 105 applies to those accounts. Getting the framework right matters, because it affects the figures your accounts show, what you disclose, and how the accounts compare with previous years. That is why it is worth talking through your circumstances before you decide, rather than assuming FRS 105 is the right fit simply because your company is small.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for UK companies that qualify for the micro-entities regime and that choose to apply it. In practice that means companies that are small enough on the relevant size tests and are not caught by one of the exclusions that keeps certain types of entity out of the regime. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those conditions are tested on the basis set out in the rules, which can involve looking at the current and preceding periods, and certain companies — for example some financial, credit or regulated entities — cannot use the regime at all, while others may be excluded for different reasons. In other words, meeting the size thresholds on their own does not guarantee that your company is eligible for the micro-entities regime, and eligibility does not oblige you to use it.
