FRS 105 is the UK financial reporting standard that applies to qualifying micro-entities which have chosen to use the micro-entities regime. It sets out how the annual financial statements are measured and presented, using simple, largely historical cost based rules and requiring fewer disclosures than other frameworks. In practice, it produces a shorter, more straightforward set of accounts for very small companies.
FRS 105 is available to companies that qualify for the micro-entities regime and then choose to apply it. Qualification depends on meeting the applicable size conditions and on no relevant exclusions applying to the company. If a company qualifies but decides to use a different framework such as FRS 102, that is a valid choice — FRS 105 is an option, not an obligation.
No. A company that qualifies as a micro-entity is not forced to apply FRS 105. Applying the micro-entities regime is a decision, and FRS 105 is the standard used when that decision is made. Some companies prefer the additional disclosures and different measurement options available under other frameworks, even when the micro-entities regime is technically open to them.
For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. These are the size conditions, and other eligibility rules and exclusions can also apply. Meeting the size conditions alone does not automatically confirm that a company can use the regime, so it is worth checking the full position for your company.
Both are UK financial reporting standards, but they are aimed at different sizes of company and offer different levels of complexity. FRS 105 is designed for qualifying micro-entities and keeps measurement and disclosure to a minimum. FRS 102 is a fuller framework used by a much wider range of companies, with more recognition and measurement options and substantially more disclosure requirements. The right choice depends on your company's size, structure and what you need from your accounts.
Where a company is required to file annual accounts, those accounts — including micro-entity accounts prepared under FRS 105 — are filed with Companies House. Filing your accounts is a separate requirement from filing a Corporation Tax Return with HMRC and from filing your Confirmation Statement. Each has its own purpose and its own submission, so it is important not to treat one as a substitute for another.
Yes, they are separate. FRS 105 accounts are the financial statements prepared under the micro-entities regime, while the CT600 is the Corporation Tax Return submitted to HMRC to report the company's taxable profits and calculate the tax due. The accounts are usually the starting point for the tax computation, but the two documents serve different purposes and go to different organisations.
A newly incorporated company can potentially use FRS 105 for its first set of accounts if it meets the eligibility conditions for the micro-entities regime and chooses to apply it. New companies still need proper accounting records from the outset, because the first accounts must reflect all transactions since incorporation. It is worth reviewing eligibility before the first year end rather than assuming it applies.
Typically you would provide your bookkeeping or accounting records for the period, bank and payment processing statements, sales invoices and expense documentation, details of any assets and liabilities, information about directors' loans or balances, and your previous year's accounts if you have them. Complete and accurate records are the foundation of reliable micro-entity financial statements, so it is worth gathering these before the accounts are prepared.
