What Are First Year Accounts for a Micro Company?

First-year accounts are the initial set of statutory accounts a limited company prepares for its first accounting period, covering the period from incorporation, or from the date it began trading, up to its first accounting reference date. They are not optional simply because the company is new, and a company can still have filing obligations even where activity has been limited or trading has not yet commenced. The accounting period itself is not identical for every company: it depends on the incorporation date, the accounting reference date set at Companies House, and whether the period has been shortened or extended in line with the applicable rules. Once prepared, the accounts are generally delivered to Companies House where required, with the filing deadline following from that accounting period rather than from a single fixed date applied to all new companies. Where a company meets the eligibility criteria for the relevant accounting period, it may be able to report under the micro-entity framework. That framework uses the financial reporting standard known as FRS 105, which is designed for qualifying entities preparing simpler accounts. Eligibility is assessed on the company’s circumstances and the requirements in force for that period, so it should never be assumed. Plenty of newly incorporated companies fall outside the micro-entity thresholds, and others prepare fuller accounts because of their size, structure or the expectations of lenders and investors. It also helps to separate first-year statutory accounts from the other filings a company may face. Statutory accounts go to Companies House. A Corporation Tax Return, such as a CT600, is submitted to HMRC and serves a different purpose, even though figures from the accounts often feed into it. The company’s first Corporation Tax accounting period and its statutory accounts period may not be identical. A confirmation statement is a separate annual filing that confirms the company’s registered details, and it is not replaced by filing accounts. VAT Returns and payroll submissions, where the company is registered for them, are separate again.

They typically include a balance sheet and, where applicable, a profit and loss account, along with the notes required by the reporting framework you use. Once finalised, they are generally filed with Companies House where required.

The deadline is not the same for every company. It is worked out from your company's accounting reference date, the incorporation date and the length of the first accounting period, which may be shorter or longer than twelve months in certain circumstances. Because Companies House applies specific rules to first periods, it is worth checking your company's own filing date rather than assuming a standard timeframe. We can confirm the position for your company when we prepare the accounts.

Most commonly, we need bank statements and transaction records, sales or income information, business expense and purchase invoices, details of any assets bought, share capital information, and records of loans or director transactions. Where the company operates payroll or is VAT registered, those records are relevant too. Not every company will have all of these — a newly incorporated company with limited activity may have very little — and we will tell you what is actually needed based on your circumstances.

In most cases, yes. Incorporation brings statutory filing obligations, and preparing first-year accounts is part of meeting them. That applies even where the company has had little activity or has not yet started trading, although the reporting position in those situations depends on the company's specific circumstances and the applicable rules rather than an automatic assumption that it is dormant. If you are unsure how your company is treated, it is better to review the position before the filing date arrives.

They are the same type of statutory accounts, but the first set is usually prepared for a longer or differently structured period because it begins on the date of incorporation. Later years normally cover a standard twelve-month period. The first set can also take a little more work, since share capital, initial director transactions and setup costs often appear for the first time.

The two are separate filings with separate purposes, and completing one does not complete the other. Paying any penalty that arises does not remove the need to file the outstanding accounts.
