What Are First Year Accounts for a Micro Company, and How Do They Apply to a New Limited Company?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and runs to the company’s first accounting reference date, although the exact dates depend on the incorporation date and the accounting reference date recorded at Companies House, and they can be adjusted in certain circumstances. Because of that, the period covered by a first set of accounts is not identical for every new company, so it is worth confirming the dates that apply to your own company rather than assuming. These accounts are not optional simply because the company is new, quiet or only recently incorporated. A limited company is generally required to prepare accounts and deliver them to Companies House where required, and that obligation can apply even where activity has been limited. Where a company has had few or no significant accounting transactions, its reporting position depends on its specific circumstances and the applicable rules — that is not automatically the same as being dormant, and dormant status carries its own conditions. They are separate from a Corporation Tax Return submitted to HMRC and from the company's confirmation statement.

The deadline depends on the company's accounting reference date and on the fact that this is its first set of accounts, because the period allowed for first accounts can differ from later years. The incorporation date, the accounting reference date recorded at Companies House and any change made to that date all affect the position. Rather than relying on a general rule, check the dates recorded for your own company, or ask us to confirm the period your accounts need to cover and the relevant filing date.

It depends on what the company has done during the period. Commonly needed items include bank statements and transaction listings, sales and income records, purchase invoices and receipts, details of any assets bought, director loan movements, share capital information, and any loans or finance arrangements. Payroll records and VAT records are relevant where the company operates payroll or is VAT registered. If some of these do not exist because there has been little activity, that is not a problem — we work from the records you do have.

A limited company generally has to prepare accounts and deliver them to Companies House where required, and that applies to first-year accounts as well as later years. Filing the accounts is not the same as submitting a confirmation statement, which is a separate filing that keeps the company's registered information up to date. Companies House records that accounts have been delivered; it does not prepare them, check how they were prepared professionally, or approve them.

In many cases a company still has statutory filing obligations even where trading has not started or activity has been minimal. Where there have been no significant accounting transactions, the correct reporting position depends on the company's circumstances and the applicable rules, and it should not be assumed that the company is dormant without checking the conditions.
